This position will provide advice, consultation, direction, and assistance related to a broad range of legal matters to ensure the organization meets its legal and regulatory obligations to its clients and regulators. This individual should be able to identify substantive legal issues and operational concerns and provide sound, but creative, solutions or improvements for the organization. Essential Duties and Responsibilities: Full responsibility for all legal matters assigned, including but not limited to: Draft, review, and negotiate client retention, vendor, technology, professional services, licensing, confidentiality, and other commercial agreements. Advise business leaders on contractual, regulatory, operational, and reputational risk. Manage contract matters independently from intake through execution. Assist with oversight of litigation matters, including outside counsel, strategy, budgets, deadlines, exposure assessments, and status reporting. Support corporate governance and entity-management functions, including annual reports, state filings, foreign qualifications, registered-agent matters, corporate records, board consents, and minutes. Partner with compliance, information security, technology, procurement, finance, and operations. Develop and maintain templates, clause libraries, negotiation playbooks, and approval of workflows. Support contract lifecycle management and other legal-operations initiatives. Other duties and responsibilities, as assigned. This job description is not intended to be all-inclusive. Knowledge, Skills and Abilities: Ability to read, analyze, and interpret general business periodicals, professional journals, technical procedures, or governmental regulations. Ability to effectively present information and respond to questions from groups of managers, clients, customers, and the general public. Ability to define problems, collect data, establish facts, and draw valid conclusions. High degree of organizational skills. Detail oriented with strong analytical skills and problem-solving capabilities. Strong time-management and prioritization skills. Self-driven with ability to work independently or collaboratively, as needed. Excellent and adaptive interpersonal and communication skills. Commitment to providing exceptional, responsive, and time-bound client service Proficient with Microsoft Office suite of programs (Word, Excel, etc.) and computer savvy. Compliance focused. Strong communication skills both written and verbal. Strong emotional intelligence. Training and Experience: J.D. from an accredited law school and active membership in good standing in at least one U.S. jurisdiction. Approximately 5 to 10 years of relevant legal experience, including substantial commercial-contracting responsibility. Experience managing litigation and outside counsel. Experience supporting corporate governance, entity management, or corporate-secretary functions. Strong drafting, negotiation, analytical, and communication skills. Ability to manage competing priorities, exercise sound judgment, and work independently. Practical, business-focused approach to identifying and resolving risk. Contract lifecycle management systems, with Ironclad experience strongly preferred. Legal operations, process improvement, and contract workflow design preferred. Conditions of Work: Ability to sit or stand for long periods. Ability to remain focused for extended periods. Ability to work extra hours to accomplish goals.
