Summary
Position Highlights:
The Assistant General Counsel I - Digital Technology Transactions will provide legal advice and counsel to Moffitt management and staff regarding business transactions and contracting, including technology contracts, consulting agreements, health care contracting, procurement and related regulatory compliance. This position will provide guidance to internal customers on legal matters within their assigned area(s) and assist with the execution of documents, policies and procedures to support the legal, ethical and efficient operation of the organization.
Assist internal customers within their assigned area(s) to draft, present, negotiate, finalize, and file
contracts and other legal agreements. Represent Moffitt and their assigned area(s) in negotiations,
arbitrations and mediations related to legal matters and business transactions with external organizations and vendors in the following areas:
- Drafting and negotiating software, cloud, subscription, SAAS, and other technology related contracts.
- Advising on data commercialization and licensing, cybersecurity, data privacy, data management, artificial intelligence, and emerging technology issues.
- Leading complex transactions with healthcare and biotechnology industry partners (both startups and large corporations) as well as other academic medical centers that include highly negotiated business and legal terms essential to achieving Moffitt’s strategic goals, including finance, use of facilities, technology transfer, and protection of intellectual property.
- Applying a strong working knowledge of the statutory and regulatory requirements that arise in business transactions supporting a health care enterprise.
Responsibilities:
- Provide legal advice and counsel to Moffitt management and staff regarding business transactions and contracting, including technology contracts, consulting agreements, health care contracting, procurement and related regulatory compliance. Provide guidance to internal customers on legal matters within their assigned area(s) and assist with the execution of documents, policies and procedures to support the legal, ethical and efficient operation of the organization. Assist customers within their assigned area(s) to draft, present, negotiate, finalize, and file contracts and other legal agreements. Represent Moffitt and their assigned area(s) in negotiations, arbitrations and mediations related to legal matters and business transactions with external organizations and vendors.
- Draft and negotiate software, cloud, subscription, SAAS, and other technology related contracts. Utilize strong working knowledge of the statutory and regulatory requirements that arise in business transactions supporting a health care enterprise.
- Provide guidance and support to management within assigned area(s) to ensure effective contract management and regulatory compliance. Regularly audit contracts, agreements, and other regulatory documents within assigned area(s) to ensure compliance with laws, statutes, regulations, policies, and procedures. Educate customers given access to the contract management system and ensure contracts and vendors are properly maintained. Audit the payments made to vendors via the contract management system to ensure payments are made in accordance with the terms of their contract.
- Keep current on new and emerging laws and policy developments impacting Moffitt's operations. Draft institutional policies in accordance with best practices and within the bounds of applicable laws and regulations. Receive and investigate inquiries and issues related to legal matters such as licensures, credentialing, insurance, contracts and Moffitt policies. Direct and participate in the research of state and federal legislation and administrative and court decisions; investigate legal problems and make recommendations. Research and complete special projects assigned by the VP/ Deputy General Counsel and EVP/ General Counsel. Perform other duties as assigned.
Credentials and Qualifications:
- Juris Doctor required. This individual must be licensed to practice law in the State of Florida and have at least six (6) years' experience practicing law with a minimum of six (6) years related contracting and transactional experience.
** Must possess State Bar certification; however, does not necessarily have to be a Florida Bar Board Certificate.**
- Experience negotiating, interpersonal, business, contract drafting, and writing skills are required.
- Bachelor's degree in a relevant field is a plus.
- Candidate should be able to display excellent organization, problem‐solving and computer skills.
- Candidate should possess excellent research, written and verbal communications skills.
- Always needs to have positive attitude, robust attention to detail, strong work ethic and ability to maintain confidentiality.
- Experience supervising and managing paralegals and support staff for maximum efficiency is preferred.
Salary Range
$152,651.20 - $232,731.20Salary ranges posted for this position represent the expected base pay range for the role. Actual compensation may vary based on location and a variety of job-related factors, including experience, skills, education, and internal equity among Team Members in similar positions.
