About The Role As Volta scales across multiple jurisdictions and entities, strong corporate governance becomes a competitive advantage – it keeps the Board informed, keeps our filings clean, and keeps the business ready for its next round of capital or a new market. This role is at the center of that work. As Company Secretary, you will be the primary point of accountability for corporate governance across Volta and its global subsidiaries. You'll organize and support Board and Committee meetings, maintain statutory records across every entity in our structure, and act as a trusted advisor to the Board and executive team on governance matters. You'll work closely with the General Counsel, external counsel, and auditors, and you'll play a direct role in supporting Volta's capital raising and corporate transactions as the company continues to grow. What You Will Be Doing Serve as Company Secretary for Volta and its subsidiaries, ensuring compliance with corporate governance requirements across all jurisdictions Organize and manage Board and Committee meetings, including scheduling, agendas, board materials, and minutes Maintain statutory books, registers, and records for Volta and its global entities Advise the Board and executive leadership on governance best practices and regulatory requirements Manage entity formation, maintenance, and dissolution across multiple jurisdictions Coordinate with external counsel and auditors on corporate filings and compliance matters Support capital raising activities, including documentation for equity and debt financings Ensure timely filing of statutory documents (annual returns, director/officer changes, and similar filings) Maintain and administer equity plans, cap table documentation, and related governance matters Partner with the General Counsel on corporate policy development and risk management What You Bring 8+ years of experience in corporate governance or company secretarial work Experience supporting Boards of Directors and Committees in a high-growth or investor-backed company Strong knowledge of corporate governance requirements across multiple jurisdictions (US, UK, and EU experience preferred) Experience with statutory filings, entity management, and cap table administration Excellent organizational skills and high attention to detail Law degree or governance-related qualification (e.g., Chartered Secretary/ICSA) preferred Discretion and professionalism when handling confidential Board and corporate matters Comfortable operating in a fast-paced, multi-entity, global organization
