Position Summary:

We are seeking a Hybrid Contracts Specialist / Paralegal to support our federal contracting and subcontracting activities. This junior–mid‑level role blends contracts administration, subcontract compliance, and paralegal‑level legal support. The ideal candidate brings strong attention to detail, familiarity with federal acquisition rules, and the ability to manage contract workflows from intake through execution.

This position supports the Legal/Contracts department and works closely with Program Management, Procurement, Compliance, and Finance to ensure all agreements meet federal, prime contractor, and internal requirements.

Key Responsibilities:

  • Federal Contract Drafting — Prepare and revise NDAs, teaming agreements, subcontracts, task orders, modifications, flow‑down schedules, and compliance exhibits.
  • Subcontract Review — Analyze prime contract terms and identify mandatory FAR/DFARS flow‑downs; ensure subcontract language aligns with federal requirements.
  • Compliance Support — Assist with compliance obligations including cybersecurity clauses (FAR 52.204‑21, DFARS 252.204‑7012), labor standards, small business requirements, and reporting.
  • Contract Lifecycle Management — Maintain version control, contract files, approval records, and renewal calendars; support audits and internal reviews.
  • Redline & Negotiation Coordination — Track redlines, coordinate with vendors and teaming partners, and escalate legal issues to counsel.
  • Legal Research — Conduct research on FAR/DFARS clauses, federal procurement policies, and industry standards.
  • Vendor & Subcontractor Onboarding — Support onboarding processes including compliance certifications, security training, PIA/Privacy requirements, and system access documentation.
  • Document Preparation — Prepare signature packets, exhibits, compliance matrices, and subcontractor documentation.
  • Internal Stakeholder Coordination — Work with program teams to gather requirements, validate scopes of work, and ensure contract accuracy.
  • Reporting & Metrics — Generate contract status reports, subcontract compliance summaries, and renewal dashboards.

Required Qualifications:

  • 1–5 years of experience in federal contracting, subcontracts administration, paralegal work, or legal operations.
  • Working knowledge of FAR, DFARS, and federal procurement terminology.
  • Experience reviewing or drafting subcontracts, teaming agreements, NDAs, and flow‑down schedules.
  • Strong proficiency with SharePoint, CLM systems, and document management tools.
  • Excellent attention to detail, organization, and ability to manage multiple deadlines.
  • Ability to interpret contract terms and identify compliance risks.
  • Strong written communication skills and comfort interacting with internal and external stakeholders.


Preferred Qualifications

  • Experience supporting prime contractors, 8(a) firms, tribal enterprises, or federal subcontractors.
  • Familiarity with CUI handling, NIST 800‑171, and cybersecurity compliance.
  • Paralegal certificate or relevant legal coursework.
  • Experience with redlining tools (Word track changes, Litera, Workshare).
  • Understanding of federal small business programs and subcontracting plans.

Teleworking:

The company has a hybrid remote policy for all employees and is dependent upon the type of position. This position may be assigned to support a federal contract, or to work in office. The Company’s teleworking eligibility may not apply if the employee is supporting a federal services contract. In this instance, the employee may be subject to federal telework policies and may be required to work onsite in the federal facility when requested.
