Boston, MA or New York, NY | Full-Time | Hybrid
Compensation: $235,000 - $365,000 annually, plus performance-based bonus.
About the Role:
We are seeking a talented Corporate Associate with 4 to 5 years of experience to join a nationally recognized Emerging Companies & Venture Capital (ECVC) practice. This partnership-track opportunity offers the chance to advise innovative startups, founders, venture-backed companies, venture capital funds, and strategic investors through every stage of the business lifecycle, from formation and early-stage financing through growth, strategic transactions, and exit.
The ideal candidate has a strong background representing emerging growth companies and venture capital investors, with experience leading financing transactions, advising management teams, and serving as a trusted legal advisor on day-to-day corporate matters. This role offers significant client interaction, sophisticated transactional work, and opportunities to mentor junior attorneys while building a long-term practice.
This is a hybrid position, requiring approximately three days per week in the office.
Responsibilities:
- Represent emerging growth companies, founders, venture capital funds, and institutional investors in a wide range of corporate and transactional matters.
- Draft, review, and negotiate venture capital financing documents, including preferred stock financings, SAFE agreements, convertible notes, and related investment documentation.
- Advise startup and emerging company clients on entity formation, corporate governance, capitalization, equity compensation, and general corporate matters.
- Counsel boards of directors and executive leadership on corporate governance, fiduciary responsibilities, stockholder matters, and strategic business decisions.
- Prepare and negotiate shareholder agreements, investor rights agreements, voting agreements, operating agreements, and other corporate governance documents.
- Manage financing transactions from initial term sheet through closing while coordinating due diligence and transaction execution.
- Supervise, mentor, and provide guidance to junior associates on venture capital and emerging company matters.
- Work closely with clients on day-to-day operational legal issues, including board and stockholder approvals, equity awards, and organizational matters.
- Collaborate with attorneys across tax, intellectual property, employment, securities, and other practice areas to deliver comprehensive legal solutions.
- Build strong client relationships by providing practical, business-focused legal counsel in a fast-paced entrepreneurial environment.
- Utilize legal technology and AI tools to improve efficiency, legal analysis, and client service.
Qualifications:
- Juris Doctor (JD) or LLM from an ABA-accredited law school.
- Admission to the Massachusetts or New York Bar, or eligibility for admission.
- 4 to 5 years of experience representing emerging companies, venture capital funds, founders, or investors in corporate transactions.
- Significant experience handling venture capital financings, startup counseling, and general corporate matters.
- Strong understanding of capitalization tables, equity ownership structures, and venture financing mechanics.
- Proficiency with Microsoft Excel and capitalization table management.
- Demonstrated proficiency using AI-powered legal research, drafting, and productivity tools in daily legal practice.
- Strong drafting, negotiation, analytical, and project management skills.
- Excellent written and verbal communication abilities.
- Strong organizational skills with exceptional attention to detail.
- Ability to manage multiple client matters while delivering outstanding client service.
Desired Qualifications:
- Experience representing high-growth technology, software, life sciences, healthcare, or biotechnology companies.
- Experience representing venture capital funds, angel investors, or private equity sponsors.
- Experience with mergers and acquisitions involving venture-backed companies.
- Familiarity with securities law, corporate finance, and strategic transactions.
- Experience mentoring junior attorneys and managing transaction teams.
- Interest in business development and long-term partnership growth.
- Outstanding academic credentials.
