We are seeking a talented Corporate Associate with 3 to 4 years of private equity and M&A transactional experience to join a nationally recognized Corporate practice. This partnership-track opportunity offers the chance to advise private equity sponsors, portfolio companies, family offices, financial institutions, and strategic corporate clients on sophisticated domestic and cross-border transactions.
The ideal candidate has experience representing clients in mergers and acquisitions, private equity investments, divestitures, joint ventures, and other complex business transactions. This role provides significant client interaction, meaningful responsibility from the outset, and the opportunity to work alongside experienced attorneys on high-profile transactions across a wide range of industries.
This is a hybrid position, requiring approximately three days per week in the Boston office.
Responsibilities:
- Represent private equity sponsors, portfolio companies, family offices, financial institutions, and corporate clients in a broad range of mergers and acquisitions and private equity transactions.
- Draft, review, and negotiate transaction documents, including purchase agreements, merger agreements, equity investment documents, joint venture agreements, and ancillary transaction documents.
- Conduct and manage legal due diligence for acquisitions, divestitures, mergers, recapitalizations, and strategic investments.
- Assist in structuring and executing complex domestic and cross-border business transactions from initial negotiations through closing.
- Advise clients on corporate governance, organizational matters, transaction strategy, and post-closing integration issues.
- Coordinate transaction workstreams with clients, opposing counsel, lenders, accountants, and other advisors.
- Manage transaction timelines, closing checklists, disclosure schedules, and closing deliverables.
- Collaborate with attorneys across tax, finance, employment, intellectual property, and regulatory practice areas to provide comprehensive legal counsel.
- Communicate directly with clients and transaction stakeholders while delivering practical, business-focused legal advice.
- Manage multiple transactions simultaneously while maintaining exceptional attention to detail and responsiveness.
- Stay current on developments in corporate law, private equity, mergers and acquisitions, and market trends affecting clients.
Qualifications:
- Juris Doctor (JD) or LLM from an ABA-accredited law school.
- Admission to the Massachusetts Bar, or eligibility for admission.
- 3 to 4 years of experience in mergers and acquisitions and private equity transactions.
- Experience representing private equity sponsors, financial institutions, portfolio companies, or strategic corporate clients.
- Strong drafting, negotiation, analytical, and legal research skills.
- Experience supporting sophisticated transactions from inception through closing.
- Excellent written and verbal communication skills.
- Strong organizational skills with the ability to manage multiple priorities and deadlines.
- Demonstrated commitment to exceptional client service and professional excellence.
- Ability to work independently while collaborating effectively in a team-oriented environment.
Desired Qualifications:
- Experience with leveraged buyouts, growth equity investments, recapitalizations, and joint ventures.
- Experience representing private equity funds, independent sponsors, or family offices.
- Familiarity with corporate finance, securities law, and capital markets transactions.
- Experience advising clients across technology, healthcare, life sciences, manufacturing, financial services, or other complex industries.
- Strong project management and transaction management skills.
- Interest in business development and long-term partnership growth.
- Outstanding academic credentials.
