Compensation: $235,000 - $310,000 annually, plus performance-based bonus.
About the Role:
We are seeking a talented Corporate Associate with 2 to 4 years of Securities and Capital Markets experience to join a nationally recognized Corporate practice. This partnership-track opportunity offers the chance to represent public companies, issuers, underwriters, placement agents, and emerging growth businesses in sophisticated capital markets transactions, securities offerings, SEC reporting, and corporate governance matters.
The ideal candidate has experience advising clients on Securities Act and Exchange Act compliance, public offerings, private placements, and ongoing public company reporting obligations. This role provides significant client interaction, meaningful responsibility from the outset, and the opportunity to work alongside experienced attorneys on complex capital markets transactions across a variety of industries.
This is a hybrid position, requiring approximately three days per week in the Boston or New York office.
Responsibilities:
- Represent public companies, issuers, underwriters, placement agents, and investors in a broad range of securities and capital markets transactions.
- Draft, review, and negotiate transaction documents for public offerings, private placements, follow-on offerings, PIPE transactions, and other equity and debt financings.
- Advise clients on Securities Act of 1933 compliance, including registered securities offerings and exempt transactions.
- Counsel public companies on Securities Exchange Act of 1934 reporting obligations, including Forms 10-K, 10-Q, 8-K, proxy statements, Section 16 filings, and other SEC disclosures.
- Advise boards of directors and executive leadership on corporate governance, SEC compliance, stock exchange requirements, and public company best practices.
- Conduct legal due diligence and assist in the preparation of registration statements, offering memoranda, prospectuses, and related disclosure documents.
- Coordinate transaction workstreams with investment banks, auditors, opposing counsel, and other advisors to ensure successful transaction execution.
- Assist clients with securities law compliance, disclosure controls, insider trading policies, and governance matters.
- Collaborate with attorneys across corporate, tax, executive compensation, finance, and other practice areas to provide comprehensive legal counsel.
- Manage multiple client matters while maintaining exceptional responsiveness, organization, and attention to detail.
- Stay current on developments in securities law, SEC regulations, capital markets trends, and corporate governance practices.
Qualifications:
- Juris Doctor (JD) or LLM from an ABA-accredited law school.
- Admission to the Massachusetts or New York Bar, or eligibility for admission.
- 2 to 4 years of experience representing issuers, underwriters, or placement agents in capital markets transactions.
- Experience advising public companies on Securities Exchange Act of 1934 reporting, SEC compliance, and corporate governance matters.
- Strong understanding of Securities Act of 1933 and Securities Exchange Act of 1934 requirements.
- Experience drafting SEC filings, registration statements, offering documents, and disclosure materials.
- Strong drafting, negotiation, analytical, and legal research skills.
- Excellent written and verbal communication skills.
- Strong organizational skills with the ability to manage multiple priorities and deadlines.
- Demonstrated commitment to exceptional client service and professional excellence.
- Ability to work independently while collaborating effectively in a team-oriented environment.
Desired Qualifications:
- Experience representing life sciences, healthcare, technology, financial services, or other publicly traded companies.
- Experience with IPOs, follow-on offerings, PIPE transactions, SPAC transactions, or other complex capital markets transactions.
- Familiarity with Nasdaq and NYSE listing standards and public company governance requirements.
- Experience advising boards of directors and executive management on governance and disclosure matters.
- Strong project management and transaction management skills.
- Interest in business development and long-term partnership growth.
- Outstanding academic credentials.
