North American Management, LLC
Base Salary: $175,000 – $225,000, plus annual performance bonus
Location: Remote, hybrid, or in-office. Fully remote work is available for candidates whose experience supports working independently; the arrangement will be finalized with the selected candidate. Offices in Murray, UT; Austin, TX; and Frederick, MD.
Employment Type: Full-time, exempt
Experience: 5+ years of transactional/corporate practice (law firm or in-house)
Why This Role
• Be the lawyer, not one of fifty. You’ll be the dedicated legal partner to a group of privately held companies, working directly with owners and executives rather than through layers of a legal department.
• Real variety. Commercial contracts, governance, deals, and risk work across construction, real estate, asset management, and manufacturing businesses.
• Flexible work arrangement. Remote options for qualified candidates, with a team of accounting and management professionals who handle the operational side so you can focus on legal work.
• No billable-hour or origination targets.

Contracts & Commercial Agreements (core of the role)
• Draft, review, and negotiate commercial agreements: vendor and purchasing agreements, professional services agreements, NDAs, and construction and development agreements (owner, subcontract, and design agreements).
• Give practical advice on negotiation strategy and contract risk, and build templates and playbooks that speed up routine deals.
Corporate Governance & Entities
• Manage entity formation and maintenance, operating agreements, board and member resolutions, and corporate records across a multi-entity portfolio.
Deals & Strategic Projects
• Support acquisitions, dispositions, restructurings, and joint ventures, including due diligence and closing documents.
• Manage outside counsel on litigation and specialized matters.
Risk & Compliance
• Spot legal risk in operations and recommend business-friendly solutions.
• Participate in insurance renewals and monitor insurance and certificate compliance.
• Help develop internal policies and process improvements.
What You Bring
Required
• J.D. and an active law license in good standing in at least one U.S. jurisdiction, with eligibility to register or practice as in-house counsel where you reside.
• 5+ years of corporate or commercial transactional experience at a law firm, in-house, or both.
• Strong contract drafting and negotiation skills.
• Comfort advising non-lawyer executives and giving clear, practical answers.
Nice to Have
• Construction, real estate, engineering, or manufacturing industry experience (not required; we’ll teach the industry).
• M&A or private-company deal experience.
• Experience with entity management for multi-entity groups.
Compensation & Benefits
• Base salary of $175,000 – $225,000, depending on experience
• Annual performance bonus
