Corporate / Commercial Lawyer

At Human Talent Connection, we are looking for a Corporate / Commercial Lawyer to join a law firm specializing in providing legal advice to companies and entrepreneurs.

We are seeking a professional with solid experience in Corporate and Commercial Law, accustomed to working directly with clients and capable of taking responsibility for different transactions while coordinating a small team.

Responsibilities

• Provide ongoing legal advice to companies and clients.
• Participate in M&A transactions, including due diligence and the review and drafting of LOIs and SPAs.
• Prepare and advise on mergers, demergers and other corporate transactions.
• Provide advice on Corporate Law, corporate governance and corporate secretarial matters.
• Draft and review shareholders' agreements.
• Advise entrepreneurs and companies on Venture Capital and financing transactions.
• Draft and negotiate commercial agreements, including supply, lease, leasing, agency, franchise and licensing agreements, among others.
• Review and draft agreements related to software development, terms and conditions, website policies and basic data protection matters.
• Coordinate and manage a team of approximately 3 people.

What are we looking for?

• Bachelor's Degree in Law.
• Membership of the Bar Association is essential.
• At least 3 years of professional experience.
• Solid experience in Corporate and Commercial Law.
• Courtroom/litigation experience.
• Minimum C1 level of English, both spoken and written.
• Ability to manage and coordinate teams.

Working Hours

Monday to Friday:

9:30 a.m. to 2:00 p.m. and 3:00 p.m. to 6:30 p.m.
