Role Overview The Corporate Controller is responsible for the integrity of Founders Metals’ consolidated financial reporting and for the accounting and internal control framework that supports it. Reporting to the Chief Financial Officer and based in our Vancouver head office, the Corporate Controller leads the corporate close and consolidation cycle, owns continuous disclosure reporting under IFRS and TSX Venture Exchange requirements, manages the annual audit, and delivers the corporate financial planning and analysis that informs Board and management decision-making. The role supervises the Financial Administrator and works closely with the Finance Manager in Paramaribo to ensure that Suriname site results are captured accurately and on time. Position Responsibilities: Financial Reporting and Consolidation Lead the monthly, quarterly, and annual close and consolidation process across the Canadian parent and Surinamese subsidiaries, including intercompany eliminations and foreign currency translation. Prepare quarterly and annual financials and MD&A, together with supporting working papers. Apply and document the Company’s accounting policies and prepare technical accounting analyses on significant judgmental matters in accordance with IFRS. Support the CFO in the preparation of materials for the Audit Committee and the Board. Audit, Controls, and Compliance Act as the primary day-to-day contact for the external auditors and accounting advisors. Maintain and monitor internal controls over financial reporting, including delegation of authority, expenditure approval, and segregation of duties. Coordinate with Surinamese accountants, tax advisors and banking partners on local statutory reporting, payroll tax and withholding remittances, import duties and local statutory audit requirements. Cost Control and Expenditure Governance Maintain and supervise cost control mechanisms across corporate and site operations to ensure that expenditure remains within approved budgets, is appropriately authorized, adequately supported by documentation and a legitimate business expense, in line with the Company’s corporate mandate and exploration priorities. Communicate expenditure standards across the organization and deliver practical training and guidance to employees, budget holders, and site management so that expectations are understood before spending occurs. Review vendor payment processes and support payment prioritization and controls. Manage weekly cash positioning, bank reconciliations and funding transfers to site. Work with the Finance Manager in Suriname to embed consistent cost control and expense verification practices at the Antino project and across contractor arrangements. Financial Planning and Analysis Support the annual budget and periodic reforecast process, consolidating corporate and site-level inputs into a single Company plan. Produce monthly management reporting, including budget-to-actual analysis, exploration expenditure tracking, and cash flow forecasting to support treasury and financing decisions. Partner with the VP Exploration and site leadership to translate exploration programs into reliable cost forecasts and commitments. Leadership and Systems Supervise, coach, and develop the Financial Administrator, setting clear priorities and reviewing output for accuracy and completeness. Work with the Finance Manager in Suriname to align site accounting practices, reporting calendars, and cost control disciplines with corporate requirements. Identify opportunities to improve financial processes, reporting efficiency and internal controls as the organization scales. Support the evaluation and use of financial systems to meet business and reporting needs. Uphold Founders Metals’ Code of Business Conduct and support a culture of integrity, accountability, and safety. Education and Experience Canadian CPA designation in good standing (or an equivalent internationally recognized designation) is required. Bachelor’s degree in accounting, finance, commerce, or a related discipline. Public practice audit training with a Big Four or major international accounting firm (Deloitte, PwC, EY, KPMG, BDO, or Grant Thornton) is required. Minimum of five years of progressive accounting experience, including at least three years in a controller, assistant controller, or manager in a public practice firm. Strong understanding of IFRS, financial reporting, and continuous disclosure filings for a Canadian public company. Mineral exploration, mining, or resource sector experience is a significant asset, including familiarity with exploration and evaluation expenditure accounting. Experience consolidating foreign subsidiaries and managing multi-currency reporting. Advanced Excel skills and hands-on experience with an ERP or accounting system; experience implementing or upgrading a finance system is an asset. Experience supervising and developing accounting staff. Working proficiency in Dutch, Spanish, or Portuguese is an asset but is not required. Location This position is based in our corporate office in Vancouver, British Columbia, working 4 days in the office and 1 day remote, with occasional travel to the Antino Gold Project in Suriname and to corporate events as required. Compensation The expected base salary range for this position is $120,000 to $160,000 per annum, commensurate with experience.
