We are seeking an experienced Corporate Governance Director to strengthen corporate governance frameworks, board effectiveness, compliance oversight, risk management, and organizational accountability across the Group.
🎯 The Role
As Corporate Governance Director, you will lead the development and implementation of effective governance policies, procedures, and controls.
You will work closely with the Board of Directors, executive leadership, legal, compliance, finance, risk, and internal audit teams to ensure transparent decision-making, regulatory compliance, and strong corporate governance practices.
🔑 Key Responsibilities
- Develop and maintain the Group's corporate governance framework.
- Advise the Board and senior management on governance matters.
- Coordinate Board and Board Committee meetings, agendas, materials, and minutes.
- Monitor compliance with corporate governance policies and applicable regulations.
- Review and improve corporate policies, procedures, and delegated authorities.
- Establish clear accountability and decision-making structures.
- Support Board evaluations and governance effectiveness assessments.
- Maintain corporate records, resolutions, and governance documentation.
- Monitor conflicts of interest, related-party matters, and disclosure requirements.
- Work with Legal and Compliance teams to identify governance risks.
- Support enterprise risk management and internal control initiatives.
- Track Board decisions and ensure appropriate follow-up actions.
- Develop governance reports and dashboards for senior leadership.
- Promote ethical conduct, transparency, accountability, and responsible business practices.
- Monitor regulatory and legislative developments that may affect the organization.
- Support corporate restructuring, strategic transactions, and major organizational initiatives.
- Provide governance training and guidance to directors and senior managers.
📋 Requirements
- Bachelor's degree in Law, Business Administration, Finance, Corporate Governance, or a related field.
- Master's degree, MBA, or professional governance qualification is preferred.
- 8+ years of experience in corporate governance, compliance, legal, risk, internal audit, or related functions.
- Proven experience working with Boards of Directors and senior executives.
- Strong understanding of corporate governance principles and regulatory frameworks.
- Experience developing governance policies, procedures, and internal controls.
- Strong knowledge of risk management and compliance practices.
- Excellent analytical, communication, and report-writing skills.
- Strong attention to detail and organizational skills.
- Ability to handle confidential and sensitive corporate information professionally.
- Strong stakeholder-management and influencing capabilities.
- High level of integrity, independence, discretion, and professional judgment.
- Experience working within an international organization is an advantage.
