About the role
We are looking for a Corporate Legal & Governance Specialist to join our legal team and support the management of the Group’s corporate structure across multiple European jurisdictions.
The role combines corporate governance, entity management, company secretarial matters, legal operations and general corporate legal support. The successful candidate will work closely with the in-house legal team, external counsel, corporate service providers and internal finance and business teams to ensure that the Group’s entities are properly maintained, compliant and efficiently managed.
This is a hands-on role suited to a legally trained professional with approximately 1–2 years of relevant post-qualification or equivalent professional experience, ideally gained in a law firm, in-house legal team, company secretarial function or corporate services environment.
Key responsibilities
Corporate governance & entity management
- Maintain and manage the Group’s Entity Management System (EMS) and maintain complete, accurate and up-to-date corporate records for Group companies across multiple jurisdictions.
- Coordinate documentation for the incorporation, maintenance and dissolution of Group entities, including incorporations, liquidations, capital increases, changes of directors and officers, registered office changes and other corporate actions.
- Prepare and coordinate corporate documentation and statutory filings with Commercial Registers and other relevant authorities.
- Maintain shareholders’ registers, organisational charts, powers of attorney and other entity-level documentation.
- Monitor and coordinate compliance with corporate requirements and statutory deadlines and ensure that required actions are completed on a timely basis.
- Coordinate with external legal counsels, corporate service providers, notaries and other advisers on corporate and governance matters.
Board & shareholder matters
- Coordinate the preparation and administration of shareholders’ and board of directors’ meetings, including notices, agendas, proxies and supporting documentation.
- Prepare corporate resolutions and other governance documents based on established templates and coordinate the preparation or review of minutes and resolutions with external counsel where required.
- Coordinate the execution, notarisation, legalisation and/or apostille of corporate documents.
- Maintain appropriate records of board and shareholder decisions and ensure that corporate governance documentation is properly filed and accessible.
Corporate legal support
- Prepare, review and amend routine legal documents using approved templates, including MoUs, IoIs, LoIs, NDAs, powers of attorney, intra-group loan agreements and other corporate documentation.
- Support the legal team on corporate transactions and other projects, including coordinating documentation, signatures and deliverables across multiple jurisdictions.
- Conduct legal and regulatory research and support the legal team in assessing matters relevant to the Group’s business and prepare concise summaries of relevant requirements and developments.
- Liaise with external counsel across Europe to obtain legal advice and coordinate the implementation of agreed actions.
Legal operations & knowledge management
- Maintain the legal team’s knowledge database and document management systems, ensuring that contracts, corporate documents and legal records are accurately filed, organised and readily accessible.
- Support the legal team in maintaining appropriate processes, templates and precedents.
- Coordinate the administration of external legal advisers, including reviewing and processing law firm invoices, tracking legal expenditure and preparing legal spend reports.
- Communicate with law firms and external advisers across Europe regarding invoicing requirements and coordinate with the in-house finance team to ensure timely processing and payment of legal invoices.
About you
- Law degree or equivalent legal qualification.
- Approximately 1–2 years of relevant professional experience, ideally in corporate law, company secretarial work, entity management, legal operations or an in-house legal environment.
- Good understanding of corporate law, corporate governance and company secretarial matters.
- Experience working with corporate entities across multiple jurisdictions is an advantage.
- Highly organised, reliable and responsive, with strong attention to detail and the ability to manage multiple entities, deadlines and corporate actions simultaneously.
- Comfortable working with corporate records, legal documentation and structured document-management systems.
- Comfortable collaborating remotely with colleagues, external lawyers, corporate service providers, notaries and internal stakeholders across multiple European jurisdictions.
- Excellent written and verbal communication and interpersonal skills, with the ability to communicate clearly and professionally with internal stakeholders and external advisers.
- Ability to work independently, prioritise competing deadlines and take ownership of tasks through to completion.
- Fast learner with a proactive, hands-on approach and the ability to quickly understand new legal, corporate and regulatory matters.
- Self-starter who is comfortable identifying what needs to be done, taking initiative and following tasks through to completion.
- Demonstrated ability to work independently, take ownership and prioritise effectively in a remote environment.
- Strong proficiency in English; additional European languages are an advantage.
- Good proficiency in Microsoft Office and an ability to learn and use entity-management and document-management systems effectively.
