Job Overview

Mainspring Energy is seeking an experienced and highly organized Corporate Paralegal to join our growing Legal team. This individual will play a key role in supporting Mainspring’s corporate governance, securities and financing activities, legal operations, and other strategic corporate matters as the company continues to scale.

This is a broad, hands-on role for someone who enjoys taking ownership, building efficient processes, and working across a wide range of legal and business matters. The Corporate Paralegal will work closely with the General Counsel and other members of the Legal team and will regularly partner with Finance,HR and other teams across the company.

Responsibilities

  • Corporate Governance: Support Board of Directors and committee processes, including preparing and organizing meeting materials, maintaining minutes and resolutions, managing approvals and consents, and maintaining corporate governance records

  • Corporate Records & Entity Management: Maintain corporate books and records and manage subsidiary and entity matters, including formations, qualifications, annual filings, registered agents, and other corporate maintenance requirements

  • Securities & Financing Support: Assist with equity financings, debt transactions, secondary transactions, equity administration, and other corporate transactions, including signature processes, closing documentation, diligence, and maintenance of transaction records

  • Equity & Cap Table Support: Partner with Legal, Finance, and People on equity-related matters, including equity grants, exercises, stockholder records, capitalization information, and related documentation

  • Legal Operations: Help develop and maintain scalable Legal team processes, templates, trackers, policies, document-management practices, and other systems that improve efficiency and visibility

  • Contract & Document Management: Support execution and organization of significant agreements and other legal documents, maintain accurate legal records, and help ensure key obligations and deadlines are tracked

  • Diligence & Strategic Transactions: Coordinate legal diligence and data-room processes for financings, commercial transactions, M&A, and other strategic initiatives

  • Cross-Functional Support: Work closely with Finance, People, Executive Operations, and other teams to gather information, coordinate approvals, and keep complex projects moving

  • Outside Counsel Coordination: Help manage workflows with outside counsel and other external service providers, including coordinating documents, information requests, signatures, invoice management, and filings

  • Take on other projects and responsibilities as the Legal team and company continue to grow

  • Qualifications

    Minimum Qualifications

  • 4+ years of corporate paralegal experience at a law firm and/or in-house legal department, preferably supporting venture-backed, technology, manufacturing, energy, or other high-growth companies

  • Strong experience with corporate governance, board and committee processes, corporate records, and entity management

  • Experience supporting corporate transactions such as venture financings, debt financings, M&A, secondary transactions, or similar matters

  • Excellent organizational and project-management skills, with the ability to manage multiple priorities and deadlines without losing attention to detail

  • Strong written and verbal communication skills and the judgment to work effectively with attorneys, executives, directors, employees, and outside advisors

  • Ability to handle sensitive and confidential information with discretion

  • A practical, proactive approach to solving problems and a willingness to take ownership of both significant projects and the details required to get them done

  • Preferred Qualifications

  • Experience supporting a late-stage private or public company

  • Familiarity with equity administration and capitalization platforms

  • Experience with legal technology, contract lifecycle management, board-management, or entity-management systems

  • Experience developing or improving legal processes rather than simply administering existing ones

  • This role is well suited for someone who is comfortable operating with a high degree of autonomy, enjoys creating order around complex processes, and wants to be an integral part of a small, collaborative Legal team supporting a rapidly scaling company.
