This hybrid role is based in HPE’s Houston, Texas office. The Counsel will provide practical, business-focused legal advice on complex technology financing, leasing, asset lifecycle, and commercial transactions across the Americas and will partner closely with business leaders, sales, finance, credit, operations, and other legal colleagues to structure transactions, manage risk, and enable timely, commercially sound outcomes in a fast-paced environment.

About HPE Financial Services:

HPE Financial Services helps customers plan, fund, and manage technology across its lifecycle. As HPE’s captive financing and asset-lifecycle business, HPEFS combines flexible financing with services that help customers modernize technology environments, manage multigenerational IT estates, extend asset value, and responsibly transition end-of-use equipment. The Americas Legal team supports HPEFS offerings and transactions involving HPE and Juniper technology, as well as broader customer and partner solutions.

Key Responsibilities:

  • Draft, review, and negotiate complex financing, leasing, and related commercial agreements, including arrangements supporting HPE and Juniper technology solutions.
  • Advise on transaction structure, legal risk, and practical paths to execution, balancing legal requirements with business objectives.
  • Support matters involving equipment leasing and financing, vendor and services arrangements, IT asset disposition (ITAD), and the sale of pre-owned equipment.
  • Lead or support customer and partner negotiations, resolving issues efficiently and escalating material risks when appropriate.
  • Provide clear, timely, and actionable guidance to business, sales, credit, finance, operations, and legal stakeholders.
  • Manage multiple matters and competing priorities with sound judgment, responsiveness, and attention to detail.
  • Develop creative, commercially practical solutions to novel or complex issues and contribute to process, template, and knowledge improvements.
  • Collaborate effectively across functions, geographies, and levels of the organization while demonstrating a proactive and growth-oriented mindset.

Required Qualifications:

  • Juris Doctor degree from an accredited law school and active license in good standing to practice law in Texas.
  • At least five years of relevant experience in a banking and finance practice at a major law firm.
  • Demonstrated experience drafting and negotiating complex financing agreements.
  • Strong working knowledge of the Uniform Commercial Code, including Article 9 secured-transactions principles.
  • Excellent legal drafting, analytical, critical-thinking, negotiation, and communication skills.
  • Sound judgment and the ability to identify, assess, and clearly communicate legal and commercial risk.
  • Proactive, solutions-oriented approach, with strong creativity and problem-solving skills.
  • Ability to perform effectively in a fast-paced environment, manage multiple matters simultaneously, and prioritize work based on business needs and risk.
  • Strong collaboration skills, professional presence, and a commitment to continuous learning and growth.

Other Relevant Experience:

Experience in any of the following areas is welcome but not required:

  • Experience with equipment leasing or equipment finance transactions.
  • Experience with confidentiality agreements, data privacy matters, vendor management, or services agreements.
  • Familiarity with IT asset disposition (ITAD), asset lifecycle services, or pre-owned technology sales.
  • In-house experience supporting a global technology, financial services, or captive finance business.
  • Experience with regulatory compliance matters relevant to financial services, including know-your-customer (KYC) and anti-money laundering (AML) requirements.
  • Experience with financing transactions involving U.S. federal, state, local, and education public-sector customers.
  • Experience with bankruptcy, insolvency, or creditors’ rights matters.
  • Familiarity with analogous Canadian commercial and secured-transactions laws.
