- Abide by all cGMP, FDA and DEA regulatory standards.
- In collaboration with and in support of relevant business functions, draft, review and negotiate contracts, including, but not limited to, supply agreements, development agreements, license agreements, supplier agreements, quality agreements, employee-related agreements, AIA agreements, lease agreements, confidentiality agreements and consulting agreements.
- Provide legal support for facilities and real estate matters, including lease negotiations, landlord relations, property-related disputes, amendments and required notifications.
- Provide legal advice to, and review documents and matters for, all departments and levels of the organization.
- Manage all litigation matters, including coordination of legal responses relating to disputes, investigations, claims, confidentiality breaches.
- Select and manage external legal counsel where appropriate.
- Advise corporation on corporate law matters.
- Handle legal aspects of employee-related issues, including investigations, policies, terminations and agreements.
- Assimilate regulatory, intellectual property and commercial goals, identifies potential issues and develops creative approaches to capitalize on business opportunities. Includes coordination of intellectual property strategy with technical teams and intellectual property counsel, including patent filings, portfolio management and protection of company intellectual property assets.
- Monitor and advise on legislative, regulatory and legal changes that may impact the business, including maintaining oversight of state pharmacy, controlled substance and business licensing activities, including applications, renewals, withdrawals, and related regulatory filings.
- In alignment with Group Risk Management team, lead NSDP risk management assessments and mitigation strategies.
- NSDP lead on Integrity Committee, including monitoring and advising on whistleblowing and ethics hotline notifications.
- Review corporate documentation and processes to correct deficiencies and implement preventative measures before problems occur.
- Lead crisis management preparation and execution with regard to legal and reputational risk management, including providing legal oversight of reputational risk matters arising from employee, governmental, regulatory or operational issues.
- Work closely with finance department on intercompany agreements, audit engagement letters and other finance-related processes, documentation and activities, including coordination with Finance regarding regulatory bonding requirements and other legal compliance obligations.
- Serve as member of the fiduciary committee advising on employee benefit matters.
- Supervise legal staff within NSDP.
- Oversee contract governance processes, including contract administration, tracking of renewal and expiration dates, and escalation of contractual obligations and risks.
- Provide appropriate legal and compliance training to NSDP employees
- As a member of the NSDP Executive Team, provide executive leadership to support the achievement of overall business strategy and objectives.
- Serve as Corporate Secretary for NSDP operating and holding companies, including maintenance of corporate records, bylaws, resolutions, consents, board documentation and meeting minutes.
