About This Role: Corporate Counsel Location: Remote Commitment: Part‑time (volunteer, pro bono role) Contribution Requirements: Minimum 10–15 hours per week; minimum 3‑month commitment. Summary of Role: As our Corporate Counsel, you will serve as Solution Community’s trusted legal advisor — helping protect, guide, and strengthen our growing global organization. You will oversee contracts, compliance, and risk management, and provide practical legal advice across all teams and projects. You’ll help build our legal foundation from scratch, ensuring that our nonprofit operations are legally sound, ethically grounded, and strategically protected. From partnership agreements and data privacy to bank disputes and intellectual property, you’ll play a key role in shaping how Solution Community operates safely and responsibly worldwide. This is both a strategic and hands-on role , perfect for someone who enjoys building systems, solving complex problems, and supporting a mission-driven team. What Will You Do? Legal Guidance & Strategy Serve as the organization’s main point of legal contact, providing day-to-day advice on contracts, compliance, and organizational risk. Review and draft agreements with partners, vendors, donors, and collaborators. Help leadership interpret and apply laws, regulations, and nonprofit requirements. Support governance matters, policy creation, and board documentation as needed. Contracts & Documentation Draft, negotiate, and review MOUs, partnership and vendor agreements, NDAs, sponsorships, and employment-related documents. Protect Solution Community’s intellectual property, assets, and confidential information. Maintain an organized system for contract management and version tracking. Compliance & Risk Management Identify legal and reputational risks, and develop systems to minimize them. Advise on privacy, data protection, and information security requirements. Support incident response and handle sensitive matters, such as cybersecurity incidents or financial disputes, in coordination with leadership. Representation & Communication Prepare formal letters, responses, and demand notices to external entities (e.g., banks, vendors, or partners). Liaise with external law firms when specialized legal support is required. Communicate legal concepts clearly and constructively to non-legal team members. Collaboration & Support Work closely with the Finance, Partnerships, Build, and People teams to ensure legal alignment in all projects. Create templates, guides, and training materials for common legal and compliance processes. Help establish the internal systems that make our growing organization more resilient. Who Are We Looking For? Experienced Legal Professionals Juris Doctor (JD) or equivalent degree; admitted to practice law in at least one jurisdiction. 5–8+ years of experience in corporate, nonprofit, or in-house counsel roles. Strong background in contracts, risk, and compliance — ideally with nonprofit exposure. Practical & Collaborative Thinkers Able to turn complex legal concepts into simple, actionable advice. Balance between strategic foresight and hands-on detail. Mission-Driven Advisors Passionate about using legal expertise to advance social good. Adaptable and proactive in a remote, multicultural, volunteer-driven environment. Bonus Points For: Experience working with 501(c)(3) organizations or NGOs. Familiarity with global data protection laws (GDPR, CCPA) and nonprofit fundraising regulations. Previous experience supporting technology or international partnerships.
