Independent Director- Finance Location: India (Remote) Industry: Agri-Tech / Sustainable Agriculture Engagement: Part time, Board level appointment About the Company Our client is a growing mid-sized Agri-Tech enterprise committed to empowering communities, modernising farming, and redefining how fresh produce is sourced and delivered. The company is deeply rooted in innovation, commercial growth, and measurable impact, while embedding strong governance and financial discipline as it scales. Role Purpose As an Independent Director on the Board, you will bring strategic oversight and independent leadership in the domains of finance, governance and risk. Key Responsibilities Provide independent judgement in board deliberations on strategy, performance, resource allocation, growth, and risk. Ensure that the Board has appropriate governance frameworks, board committee structures (e.g., audit, risk) and charters, and that independent director duties are fulfilled. Promote transparency and accountability: ensure financial, governance, risk disclosures are appropriate and stakeholder interests including minority shareholders are protected. Oversee and challenge financial performance, budgets, forecasts, cash flow management, capital structure decisions, funding strategy and financial risk exposure. Oversee the enterprise-wide risk management framework: strategic, operational, financial, compliance and reputational risks are identified, assessed, mitigated and monitored. Ensure compliance with relevant laws and regulations (including corporate law, financial reporting, industry-specific rules, data/privacy). Qualifications & Experience Proven board-level or senior leadership experience, ideally in finance, corporate governance, risk management or closely related roles. Deep understanding of financial statements, internal controls, audit processes, budgeting, capital structure, financing options and financial risk management. Demonstrated experience in governance, compliance, risk oversight and strong business acumen especially in a growth or scale-up environment. Excellent communication and stakeholder-management skills: ability to engage with investors, board members, senior management, supply-chain partners, and regulators. Familiarity with Indian corporate legal/regulatory environment (including and not limited to the Companies Act, 2013, audit committee requirements, risk management obligations).
