About the Role
Join a collaborative corporate transactions team as a mid-level M&A and private equity associate. You will lead deals from due diligence through closing while also advising clients on general corporate matters, with early and frequent client exposure.
What You'll Do
Run mergers and acquisitions transactions end to end, from due diligence through closing.
Draft and negotiate purchase agreements, merger agreements, financing documents, and other transactional documents.
Manage due diligence processes across transactions.
Advise on entity formations, corporate structuring, compliance, and ongoing corporate matters.
Support private equity sponsors and portfolio companies throughout their investment lifecycle.
Work closely with partners and clients in a lean team environment.
What We're Looking For
Four to eight years of M&A and private equity transactional experience at a law firm, with the ability to independently run deals.
Experience with private equity-sponsored transactions, due diligence, and deal documentation.
Demonstrated experience drafting and negotiating purchase and merger agreements.
A Juris Doctor degree and a license to practice law in Missouri, or willingness to obtain one.
Law firm experience managing multiple client relationships and matters.
Strong attention to detail and experience advising clients directly.
Additional experience with general corporate work, debt financings, equity structuring, or cross-border transactions is useful.
Authorization to work in the United States is required. Visa sponsorship is not available.
Compensation & Benefits
Base salary range: $205,000 to $285,000 annually. Compensation expectations are not tied to a BigLaw lockstep model.
Location
Hybrid, based in St. Louis, Missouri, with four days per week in the office. Candidates based in Chicago with Missouri ties may also be considered.
