The Paralegal, Technology, Operations, and Vendor Contracts supports the Legal team in managing vendor and technology transactions for Wiley businesses and functional partners globally. The role reports to the Legal team leadership and operates in a hybrid work environment.
Job Responsibilities:
- Negotiate MSAs, NDAs, and DPAs with vendors and their counsel, applying Wiley’s playbook positions and escalating non-standard requests
- Draft and negotiate bespoke agreements where standard templates do not fit, including partnership and collaboration, speaker, venue, and license agreements
- Advise Global Sourcing and business partners on contract questions and strategy, including monthly meetings with Global Sourcing on pending deals
- Review supplier registration in Ariba as it pertains to risk
- Maintain and update the MSA Playbook, contract templates, and Independent Contractor Agreements, and apply new regulatory requirements to them
- Escalate blockers to Legal team leadership, and advise on vendor disputes in partnership with litigation colleagues
- Train colleagues on contracting processes, terms, and negotiations
- Develop and use AI-assisted tools to support contract review
- Support other Legal teams and business partners with negotiations, language review, and drafting as needed
Required Qualifications:
- Education: Paralegal certificate or degree or equivalent
- Strong understanding of commercial, technology, and vendor contracts
- Ability to negotiate and redline agreements against playbook positions, and to judge when to escalate to legal leadership
- Ability to draft bespoke agreements, such as partnership, speaker, and license agreements, where standard templates do not fit
- Ability to advise business and sourcing partners clearly and practically on contract risk
- Ability to maintain templates, playbooks, and contract standards, and to apply new legal and regulatory requirements to them
- Demonstrate courage in collaborating with colleagues across teams, drive measurable impact through contract support and process improvements, and continuously learn to strengthen expertise in legal operations
- Travel: No travel required for this role
Preferred Qualifications:
- 5+ years of paralegal experience or equivalent, preferably in a corporate legal department or law firm
- Experience with contract lifecycle management and e-signature tools
- AI processing expertise and AI tool development for contract review
- Ability to train colleagues on processes, terms, and negotiations
