Job Summary
Our client is a sponsor-backed energy infrastructure company developing a large-scale natural gas storage project in Louisiana. As the project approaches Final Investment Decision (FID) and financial close, the company is seeking an experienced Interim Project Finance Counsel to serve as the internal legal and transaction quarterback for a complex, multi-party financing process.
This is a unique opportunity for a senior project finance attorney to play a critical role in bringing a major energy infrastructure project across the finish line. The successful candidate will work closely with company leadership, lenders, sponsors, financial advisors, and multiple external law firms to coordinate the financing process, identify and resolve issues, and drive execution through financial close.
The role is focused on transaction management, coordination, and execution rather than day-to-day legal drafting.
Key Responsibilities:
- Serve as the internal legal and transaction lead for a sophisticated project financing.
- Coordinate multiple financing workstreams, including senior debt, mezzanine/junior debt, and equity financing.
- Act as the central point of contact among lenders, sponsors, financial advisors, and external counsel.
- Manage communications, timelines, deliverables, and issue resolution across all financing parties.
- Identify transaction risks, bottlenecks, and outstanding issues, and proactively drive solutions.
- Partner with executive leadership to ensure financing milestones are achieved and the project remains on schedule.
- Review and track key financing documentation and closing requirements.
- Help organize and manage the overall closing process through financial close.
- Support transition from financing into the construction phase by ensuring necessary agreements and documentation are completed and coordinated.
Qualifications:
- J.D. and active bar membership in at least one U.S. jurisdiction.
- Significant experience in project finance, infrastructure finance, energy finance, or structured finance transactions.
- Demonstrated experience managing and closing sophisticated project financing transactions.
- Strong understanding of lender, sponsor, borrower, and investor workstreams.
- Experience coordinating multiple outside law firms and financing counterparties.
- Ability to operate independently in a lean, fast-moving environment.
- Exceptional project management, organization, and communication skills.
- Proven ability to identify issues, prioritize action items, and drive transactions toward closing.
Preferred Qualifications:
- Experience with energy, natural gas, LNG, midstream, infrastructure, power, or oil & gas projects.
- Familiarity with senior debt, mezzanine financing, private credit, and sponsor-backed transactions.
- Experience representing sponsors, developers, infrastructure funds, or project companies.
- Prior in-house experience with an energy or infrastructure developer.
- Former project finance partner, counsel, senior associate, or in-house financing attorney.
