Interim Structured Finance Attorney - NYC Hybrid

Major, Lindsey & Africa has an immediate need for an Attorney to assist an international bank on a Structured Finance Role Overview: The International Banking Institution seeks a Structured Finance Attorney. Company: International Japanese Banking Institution. Experience: At least 8-12 years of experience working on Supply Chain Finance, Trade Finance or Structure Finance/ Securitization Law Location: NYC Hybrid Ideal (4 days per week in office). Responsibilities include: Review, draft and negotiate transaction documentation and provide legal advice relating to: Structured finance and structured lending transactions; Securitizations and other asset-backed financing arrangements; Aviation finance, including aircraft and related asset financing transactions; Trade finance products; Letters of credit, reimbursement agreements, trade loans and guarantees; Bilateral and syndicated credit facilities; Secured and unsecured lending transactions; and Cross-border and other complex financing arrangements. Advise business teams on the structuring, development and execution of new and complex financing products and transactions. Provide practical legal advice regarding transaction structures, documentation, execution risk and contractual risk. Identify and advise on legal, regulatory and enterprise issues arising from transactions and related business activities. Work closely with business, credit, compliance, operations, tax, treasury and other internal stakeholders to support the timely execution of transactions. Coordinate with regulatory, product and international legal teams to provide consistent and seamless legal support across jurisdictions. Interact directly with clients and counterparties in negotiating agreements and assist business teams in explaining transaction structures and documentation requirements. Select, retain and manage external counsel, including oversight of legal fees and transaction-related legal spend. Support new initiatives within the Americas Legal Department and Bank more broadly. Provide training and guidance on relevant legal, regulatory and documentation matters. Participate in internal working groups and committees, as appropriate. Advise on and assist with the implementation of new projects, products, businesses and enterprise initiatives. Qualifications J.D. from an accredited law school and admission in good standing to practice law in at least one U.S. jurisdiction. Significant relevant experience as a finance attorney, preferably gained at a leading law firm, financial institution or combination of both. Strong drafting, negotiation and transaction-management skills. Ability to analyze complex or unfamiliar transaction structures and identify the relevant legal, regulatory and documentation issues. Strong commercial awareness and the ability to make sound, practical judgment calls in a fast-moving business environment. Ability to identify and manage contractual and legal risk and develop practical strategies for addressing complex issues. Experience working with multiple internal stakeholders and managing transactions across business functions and jurisdictions. Strong communication and relationship-building skills. Sound judgment and a practical, solutions-oriented approach. Structured and logical approach to work, with the ability to manage multiple transactions and competing deadlines. Ability to work effectively as part of a collaborative team in a fast-paced environment. Flexibility and willingness to support new products, transactions and business initiatives. Excellent attention to detail and accuracy. Ability to remain calm and perform effectively under pressure. Strong work ethic, responsiveness and commitment to timely transaction execution.
