Remote | Contract Attorney — $85–$105/hour

We are sharing a specialised part-time consulting opportunity for experienced Contract Attorneys with strong expertise in technology transactions, contract drafting, negotiation, redlining, and commercial legal review to contribute to an advanced legal AI training and contract-evaluation project.

Selected professionals will review and assess contract-redlining workflows, perform simulated negotiations, evaluate AI-generated legal responses, and help establish rigorous standards for contract analysis and transactional legal judgement. The opportunity is particularly suited to attorneys with substantial in-house experience negotiating technology agreements such as MSAs, NDAs, and DPAs.

Key Responsibilities

Contract Drafting & Review

• Draft, review, and analyse technology and commercial agreements
• Work with MSAs, NDAs, DPAs, and related transaction documents
• Identify contractual risks, ambiguities, and drafting weaknesses
• Assess whether provisions accurately reflect intended commercial arrangements
• Apply practical in-house legal standards throughout contract-review workflows

Contract Negotiation & Redlining

• Perform simulated contract negotiations and redlining exercises
• Evaluate alternative drafting positions and negotiation approaches
• Identify legal, commercial, and risk-allocation implications of proposed changes
• Refine contractual language for clarity, precision, and enforceability
• Maintain consistency across iterative negotiation and redlining tasks

AI Contract Evaluation

• Review AI-generated responses to contract and negotiation scenarios
• Assess legal reasoning, drafting quality, and commercial judgement
• Identify inaccurate interpretations, weak redlines, or unsupported conclusions
• Evaluate whether proposed revisions appropriately address contractual risk
• Provide structured expert feedback supporting model improvement

Evaluation Frameworks & Grading

• Develop objective evaluation frameworks for contract-related tasks
• Define criteria covering drafting quality, legal reasoning, negotiation judgement, and risk identification
• Establish consistent standards for evaluating AI-generated legal work
• Document why particular responses are strong, incomplete, or incorrect
• Support rigorous and repeatable contract-evaluation workflows

Legal Collaboration & Quality

• Collaborate with product, research, and technical teams on contract-review initiatives
• Translate legal expertise into clear and actionable feedback
• Help refine legal datasets, review guidelines, and evaluation standards
• Communicate complex transactional concepts across multidisciplinary teams
• Contribute to evolving best practices for AI-assisted contract analysis

Ideal Profile

• Minimum of 3 years of in-house legal experience focused on technology transactions
• Strong experience negotiating MSAs, NDAs, DPAs, and related commercial agreements
• Demonstrated contract-drafting, negotiation, and redlining expertise
• Strong understanding of legal and commercial risk allocation
• Excellent written and verbal communication skills
• Meticulous attention to detail and strong analytical judgement
• Ability to translate legal expertise into structured evaluation feedback
• Comfortable working with cross-disciplinary teams in fast-paced environments
• Strong practical understanding of in-house legal decision-making
• Experience at a corporate law firm in M&A or fund formation is advantageous
• Experience supporting private-equity-related transactional work is beneficial
• Prior exposure to AI, legal technology, or related training initiatives is advantageous but not required

• Part-time independent contractor engagement
• Fully remote
• Compensation: $85–$105/hour
• Work will involve contract drafting, negotiation simulations, redlining, AI-output evaluation, and legal-quality framework development
• Strong in-house technology-transactions experience is central to this engagement
• Assignments may involve MSAs, NDAs, DPAs, and related commercial agreements
• Project scope, workload, contract types, and evaluation standards may evolve depending on project requirements
• Prior AI experience is not required
• Work must be completed without using confidential or privileged information belonging to any employer, client, company, law firm, institution, or other third party
