Remote | Corporate Attorney — $90–$150/hour

We are sharing a specialised consulting opportunity for experienced U.S.-based Corporate Attorneys with strong expertise in corporate law, commercial agreements, M&A, contract drafting and review, regulatory compliance, legal risk management, and transactional analysis to contribute to an advanced AI training and legal-content evaluation project.

Selected attorneys will review and analyse corporate and commercial documents, evaluate AI-generated legal content, draft and refine contractual language, identify legal and transactional risks, and translate complex U.S. legal concepts into clear and practical explanations. The work requires substantial corporate or transactional experience, strong legal judgement, and precise written communication. No prior experience in AI is required.

Key Responsibilities

Corporate & Commercial Law

• Analyse corporate and commercial legal matters
• Review business transactions for legal and contractual implications
• Evaluate corporate documents for accuracy and practical applicability
• Identify material legal risks affecting business operations
• Apply U.S. corporate-law principles to realistic scenarios

M&A Transactions

• Review legal issues arising in mergers and acquisitions
• Analyse transaction documents and contractual provisions
• Evaluate risk allocation across deal structures
• Identify problematic or ambiguous transaction language
• Apply practical judgement to M&A-related legal scenarios

Contract Drafting & Review

• Draft and review corporate and commercial agreements
• Evaluate contractual language for clarity, consistency, and enforceability
• Identify missing, conflicting, or high-risk provisions
• Recommend practical drafting improvements
• Compare alternative approaches to contract language

Legal Document Analysis

• Review policies, agreements, and transactional documents
• Assess documents for legal accuracy and professional quality
• Identify material obligations, restrictions, and risk areas
• Analyse complex provisions in context
• Produce clear summaries of relevant legal issues

U.S. Regulatory Compliance

• Evaluate corporate and commercial matters against applicable U.S. legal requirements
• Identify potential regulatory or compliance concerns
• Review policies and agreements for compliance-related risks
• Distinguish substantive legal issues from drafting preferences
• Provide structured analysis of compliance obligations

Legal Risk Management

• Identify legal risks in business transactions and contract negotiations
• Evaluate the practical significance of contractual provisions
• Assess potential exposure arising from deal terms or business arrangements
• Highlight areas requiring further legal review or negotiation
• Support risk-conscious drafting and decision-making

Legal Research & Analysis

• Research corporate, commercial, transactional, and regulatory issues as required
• Synthesise legal concepts into concise and usable analysis
• Evaluate whether legal conclusions are adequately supported
• Identify uncertainty or areas requiring jurisdiction-specific consideration
• Apply analytical rigour to complex business-law questions

AI Legal Evaluation

• Review AI-generated corporate and commercial legal content
• Assess outputs for factual and legal accuracy
• Identify incorrect reasoning, unsupported conclusions, or drafting weaknesses
• Provide structured feedback to improve model performance
• Contribute practical legal expertise to AI-training workflows

Scenario & Dataset Development

• Contribute realistic corporate-law scenarios and case studies
• Support development of high-quality training examples
• Help create representative document-review and drafting tasks
• Provide practical context drawn from real-world legal workflows without using confidential client material
• Improve the realism and usefulness of legal evaluation datasets

Legal Communication

• Translate complex legal concepts into clear explanations
• Provide precise written and verbal analysis
• Distil technical legal issues for varied audiences
• Communicate legal risks and practical implications clearly
• Collaborate asynchronously with project stakeholders

Ideal Profile

• JD from an accredited U.S. law school
• Active bar membership in at least one U.S. jurisdiction
• Minimum 5 years of experience in corporate, business, or transactional law
• Strong experience with corporate and commercial agreements
• Demonstrated exposure to M&A transactions
• Strong contract drafting and review skills
• Experience with legal risk management
• Familiarity with U.S. regulatory and commercial compliance requirements
• Experience as outside counsel, in-house corporate counsel, or legal consultant to business clients
• Strong legal research and analytical skills
• Ability to assess contract enforceability and transactional risk
• Exceptional written and verbal communication skills
• Ability to explain complex legal concepts clearly
• Strong attention to detail
• Comfortable collaborating remotely and asynchronously
• Intellectual curiosity and interest in technology-driven legal projects
• No prior AI-training or model-evaluation experience is required

Engagement Details

• Independent contractor engagement
• Remote — United States only
• Displayed compensation range: $90–$150/hour
• Actual compensation structure is task-based, with payment made per completed task that meets project specifications
• Average handling time (AHT): approximately 3.5 hours per task
• Effective hourly earnings will depend on the number of completed tasks that are successfully reviewed and signed off
• Work will involve corporate law, commercial agreements, M&A, contract drafting, regulatory compliance, legal risk analysis, and AI-generated legal-content evaluation
• Strong U.S. corporate and transactional-law experience is central to this engagement
• Assignments may involve contracts, policies, transaction documents, risk analysis, legal scenarios, and structured content review
• Project scope, workload, legal topics, and evaluation standards may evolve depending on project requirements
• Work must be completed without using confidential, privileged, proprietary, client-identifiable, deal-sensitive, non-public, or otherwise restricted information belonging to any client, law firm, employer, transaction, government entity, or other third party
