Senior Contract Manager - Suppliers & Third Parties Position Summary: This Senior Contracts Manager is a senior individual contributor responsible for the end-to-end contracting lifecycle for critical and strategic suppliers, technology providers, professional services firms, channel partners, and other third parties supporting Clinisys. The role partners with Procurement, Finance, IT, QARA, Product, and business leaders to structure, negotiate, execute, and manage supplier and third-party agreements that support our growth objectives, while minimizing legal, financial and operational risk. Essential Functions: Contract Drafting & Negotiation Lead the review, drafting, negotiation, and execution of high value, complex supplier and third-party agreements, including software licensing, SaaS, cloud hosting, data and professional service agreements, consulting agreements, data protection agreements (DPAs), Business Associate Agreements (BAAs) and channel partner agreements. Effectively translate business objectives into clear contractual positions on pricing, operations, service levels, use of Artificial Intelligence, data protection, and legal terms. Own complex, high-value negotiations, by developing issue-specific strategies, aligning internal stakeholders on priorities and fallback positions, and presenting concise, risk-based recommendations to business leaders. Operate as a business partner throughout Clinisys to support business objectives and align supplier and third-party terms with corporate objectives and risk thresholds. Establish rigorous contract flow-down clauses to ensure that Clinisys' commitments to its clients are legally bound to downstream subcontractors and suppliers, where applicable. CLM & AI Excellence Leverage approved AI-enabled contract management tools to accelerate contract reviews, analyze clauses and identify potential risks, while independently validating outputs to ensure accuracy. Champion the use of Clinisys’ Pramata CLM system as the system of record for contract requests, negotiations, approvals, and related activities, maintaining complete and accurate contract data. Oversee the consolidation of all critical and strategic supplier and third-party contracts into the Pramata CLM system as the “source of truth” to enable efficient monitoring, management and AI based analysis of terms, objectives and risks. Administration, Risk Management & Compliance Develop and maintain supplier templates, playbooks, fallback positions, clause libraries, approval matrices, and contracting guidance. Safeguard the organization by ensuring all third-party agreements address applicable global data privacy requirements and relevant information security standards. Monitor key supplier obligations, renewal dates, commercial commitments, service levels, and remediation actions in collaboration with contract owners. Support integration and rationalization of supplier agreements arising from acquisitions, reorganizations, or technology transformation initiatives. Skills Needed to be Successful: Solid understanding of commercial contract law, software licensing models, SaaS and associated terms. Advanced and highly impactful written and verbal communication, negotiation and diplomacy skills. Ability to work effectively across functions, geographies, and levels of seniority with limited supervision. Sharp business acumen and ability to work independently. Excellent analytical, critical and creative thinking skills. Sound judgment, integrity, ownership and accountability. Ability to prioritize and execute on deadlines while handling multiple tasks. Flexibility, resourcefulness and a team mentality Required Experience & Education: Bachelor’s degree in business administration, law or related field or equivalent combination of education and relevant experience. Minimum of 7 years of progressive experience negotiating and managing complex commercial technology and services contracts (SaaS, cloud, software, data, and professional services). Proficient in MS Office Products Preferred Qualifications: Masters or law degree or equivalent work experience. Experience in healthcare technology, laboratory informatics, life sciences, regulated software, or another highly regulated industry. Experience supporting a global organization and negotiating agreements across multiple jurisdictions. Familiarity with contract lifecycle management tools (e.g., Pramata). Working knowledge of artificial intelligence and emerging-technology contracting issues. The starting pay range for a candidate selected for this position who is generally within the range of $120,000 - $150,000 for annual base salary. The successful candidate’s actual pay will be based on various factors, such as work location, qualifications, and experience, so the actual starting pay may be above or below this range. Physical Requirements: Work is performed in a normal office setting with minimal exposure to health or safety hazards. Prolonged periods of sitting at a desk and working on a computer.
