Summary:
The Senior Finance Manager, M&A will play a leadership role in executing the firm's inorganic growth strategy through the acquisition of Registered Investment Advisors (RIAs), independent advisor practices, OSJs, and wealth management businesses. Reporting to the Director of Finance, this individual will manage a team of approximately three individuals and oversee the full transaction lifecycle, including deal sourcing support, valuation, financial modeling, due diligence, transaction execution, and handoff to integration teams.
This role requires a highly analytical, commercially minded leader who can evaluate acquisition opportunities at scale while developing a high-performing M&A team. The ideal candidate combines strong corporate finance expertise with deep knowledge of the RIA industry, advisor economics, succession planning transactions, and wealth management business models. The position offers significant exposure to executive leadership and direct influence on enterprise growth and capital allocation decisions.
Responsibilities:
- Partner with senior leadership to execute the firm's acquisition strategy within the RIA and wealth management sectors.
- Build and enhance scalable M&A playbooks, templates, financial models, governance standards, and integration processes.
- Lead finance workstreams across acquisitions, divestitures, and strategic investments from initial assessment through post-close stabilization.
- Direct financial due diligence, including analysis of historical results, quality of earnings, working capital, debt-like items, cash flow sustainability, and key financial risks.
- Develop and review valuation models, transaction scenarios, accretion and dilution analyses, synergy cases, and other decision-support analyses.
- Analyze revenue quality, client retention, advisor productivity, profitability, and organic growth trends.
- Prepare and present executive-level materials, including investment memoranda, financial models, risk assessments, integration updates, and board-ready presentations.
- Advise on financial terms within transaction agreements, including purchase price mechanisms, earn-outs, working capital adjustments, and other value-protection provisions.
- Develop integrated finance workplans, governance routines, milestones, risk logs, decision tracking, and executive status reporting.
- Coordinate cross-functional activities across Accounting, FP&A, Tax, Treasury, Legal, HR, IT, Operations, and Shared Services to support transaction execution and integration.
- Collaborate with FP&A to incorporate transactions into budgets, forecasts, long-range plans, and performance reporting.
- Track post-close performance against business case assumptions, including revenue and cost synergies, cost to achieve, integration expenses, and other value-realization measures.
- Ensure transaction and integration activities comply with applicable accounting standards, internal controls, regulatory requirements, and company policies.
- All other duties as assigned.
Education Requirements:
- Bachelor’s degree from an accredited university in Finance, Accounting, Economics, Business, or a related field is required.
Basic Requirements:
- 8 or more years of progressive experience in M&A finance, corporate development, transaction advisory, corporate finance, FP&A, investment banking, or a related field.
- Demonstrated experience leading or owning finance workstreams across multiple transactions, including financial diligence, modeling, deal execution, and post-close integration.
- Advanced financial modeling, valuation, scenario analysis, and problem-solving skills, with strong attention to detail and financial accuracy.
- Strong understanding of financial statements, cash flow, working capital, accounting concepts, forecasting, internal controls, and end-to-end finance processes.
- Proven ability to lead complex, cross-functional initiatives and influence outcomes in a matrixed organization without direct authority.
- Excellent executive communication and presentation skills, including the ability to synthesize complex findings into clear recommendations for senior leaders and non-finance stakeholders.
- Demonstrated ability to exercise sound judgment, manage confidential information, and deliver high-quality work across competing priorities and transaction deadlines.
Preferred Requirements:
- MBA, CPA, CFA, CMA, or similar advanced degree or professional certification.
- Experience in financial services, wealth management, broker-dealer, regulated, multi-entity, or private equity–backed environments.
- Experience with purchase accounting, separation planning, transition service agreements, or finance systems integration.
