Senior Legal and Commercial Counsel (m/f/d)

About the Role

As the local legal point of contact for the UK business, you will report directly to the CEO of ARX Robotics UK, with a functional reporting line to the Director Legal & Compliance at ARX Robotics’ German headquarters. You will work closely with local management and relevant HQ Group Functions including HR, Finance, Engineering, Product, Security and Export Control while retaining responsibility for day-to-day UK legal support.

What You'll Build

• A practical legal and commercial foundation for ARX Robotics' UK activities, with clear guidance that enables teams to move forward responsibly.
• Strong, consistent contract practices across the commercial lifecycle, including drafting, review, negotiation, approval, execution and ongoing contract support.
• Effective legal support for customer and supplier contracts, tenders, procurement processes, partnerships, NDAs, statements of work and other business arrangements.
• Clear, risk-based advice on commercial terms, liability, warranties, intellectual property, confidentiality, data protection, disputes and other legal issues.
• A robust approach to identifying, assessing and escalating compliance risks relevant to the UK business, including UK export controls, sanctions, anti-bribery and corruption, and competition considerations.
• Practical compliance guidance and awareness initiatives that help colleagues understand relevant requirements and know when to seek advice.
• Effective coordination with internal stakeholders and external legal or compliance advisers, including management of external advice where appropriate.
• A sound approach to corporate housekeeping and governance matters for UK operations, in coordination with relevant company stakeholders and advisers.
• Trusted working relationships across commercial, finance, operations, engineering and leadership teams, built on sound judgement, discretion and clear communication.
• Work closely with the Director Legal & Compliance at ARX Robotics’ German headquarters on material, strategic, cross-border and intragroup contracts and legal matters, ensuring alignment with applicable group requirements.
• Support the implementation of ARX Robotics’ group-wide legal and compliance framework in the UK including anti-bribery and corruption, conflicts of interest, third-party due diligence, sanctions, export control and competition compliance.
• Coordinate UK aspects of cross-border and intragroup transfers of equipment, components, software and technical data with HQ Legal &Compliance and relevant Group Functions, including Export Control and Security.
• Work with HQ Legal, Engineering and Product to protect and appropriately allocate intellectual property, software, know-how and other technology developed or used in the UK.

What You Bring

• A recognised 5 years + post legal qualification and the right to practise in a relevant UK jurisdiction
• Significant post-qualification experience in commercial legal work, ideally gained in-house or in a commercial law firm supporting technology, industrial, defence, aerospace or other regulated businesses.
• Strong experience drafting, reviewing and negotiating complex commercial agreements and supporting transactions through to execution.
• The ability to provide concise, practical advice that explains material risks and options to non-lawyers.
• Experience advising on compliance matters, with working knowledge of relevant UK requirements. Exposure to export controls and sanctions is strongly preferred; experience with defence or dual-use products is an advantage.
• Familiarity with UK data protection requirements
• Experience working with an international HQ legal or compliance function and in a matrixed organisation, including effective collaboration with Group Functions such as Legal & Compliance, HR and Finance.
• Experience working with group-wide policies, governance standards or compliance frameworks and adapting them pragmatically to UK requirements.
• The judgement to identify material legal, regulatory, compliance, reputational or security risks and escalate them early to the Director Legal & Compliance at ARX Robotics’ German headquarters.
• Sound judgement in handling sensitive information and a high standard of integrity, confidentiality and accountability.
• A collaborative, hands-on approach and the confidence to work independently while knowing when to escalate or involve specialist advisers.
• Excellent written and spoken English. Additional language skills are a plus
• The ability to work effectively in a growing, international environment where priorities can evolve and legal guidance needs to be both rigorous and commercially grounded.
