About this Opportunity
Reporting to the General Counsel, the Senior Legal Counsel & Assistant Corporate Secretary plays a pivotal role in the seamless execution of CIRO’s governance framework by ensuring the Board of Directors and its committees operate in compliance with legal and regulatory requirements. This role acts as a key governance advisor to the Board, maintains official records, and ensures accurate documentation of corporate decisions.
Core Responsibilities:
- Working with the General Counsel & Corporate Secretary, serving as one of the primary governance contacts for the Board of Directors and its committees
- Prepare, distribute, and maintain Board and committee meeting agendas, materials, and minutes
- Ensure accurate and timely documentation of Board resolutions and decisions
- Ensure ongoing compliance with all legal and regulatory requirements, while monitoring any changes and recommending necessary action as required
- Assist in the development, review, and implementation of governance policies and procedures
- Facilitate timely and transparent communication regarding decisions, policies, and regulatory updates
- Identify governance risks and recommend mitigation strategies based on best practices
- Coordinate the various activities related to the efficient conduct of the Annual Meeting
- Monitor compliance with Board terms, elections, appointments, and officer roles
- Provide legal support to CIRO, conducting legal reviews and providing advice on a variety of corporate law and regulatory issues
What You Bring:
Must-haves
- A law degree and a minimum of 3 years post-call experience in a legal or corporate secretarial role within the financial sector and/or a regulatory environment
- Strong understanding of governance principles and fiduciary responsibilities
- Excellent communication, presentation and writing skills
- Excellent organizational skillswith strong attention to detail
- Demonstrated initiative and dependability
- Ability to demonstrate professionalism when interacting with members of the Board and other senior leaders
- Ability to maintain the highest standard of confidentiality in all matters related to Board materials, minutes and sensitive information
- Experience in, and strong knowledge of, regulatory processes and associated rules
- Experience preparing legal documentation for a Board-level audience
- Ability to travel within Canada for Board meetings as needed (5%-10% of the time)
