Directly reporting to the Chief Legal Officer, your main tasks will be focused around Corporate law as follows: What you'll be doing? Handle the Company corporate transactions including funding, M&A, investment, and other strategic operations in a substantive fashion (e.g., structuring corporate documentation, due diligence participation, negotiation of investment agreements, post-closing formalities). Handle corporate secretary for the French entity and its 8 worldwide subsidiaries and ensure compliance with local corporate law. Manage our ESOP plans distributed to our collaborators worldwide and associated formalities Assist in developing and executing legal strategy regarding group structuration and setting up new entities around the world. Provide corporate advices to the founders and and different stakeholders of the company Proactively collaborate with the finance team and our outside counsels. Your responsibilities may include other areas of business laws including legal operations. Your Profile French legal education mandatory Master 2 in Business law - double major in business school/political science/LLM is a plus Admitted to practice law in France (CAPA) 4 to 6 years of experience (post graduation) in corporate law An experience in other areas of business law is not mandatory but is a plus Bonus - You are familiar with start up clients Excellent communication and drafting skills English and French full written/oral proficiency Softskills Pro-active, autonomous, solution driven Rigorous and detail oriented Open minded, not reluctant to change process or to try new things Swapcard’s Interview process Our thorough interview process aims to identify exceptional talent to advance our mission while offering you a chance to explore your career potential at Swapcard. 1.
