This Corporate & Commercial firm was established from the outset as a fully remote practice, with everyone working from home. This means the culture, communication and way the team works together have all been built around remote working. Their processes encourage collaboration on matters, so even though staff members are based up and down the East Coast of Australia, their systems and culture are such that they remain connected - creating a sense of inclusion, support and belonging.


The firm maintains a relatively even split between corporate and commercial work, including private M&As, capital raisings and IPOs, ASX listing advice, and a significant commercial contracting and advisory practice.


Their clients often engage the team on monthly retainers, using them as an extension of their internal legal function. For some clients, the firm effectively operates as their outsourced legal team, so you get to know how your clients' businesses actually operate and become involved in the day-to-day issues they face, rather than working with them only on discrete instructions.


A significant part of the firm's growth is coming from software and technology clients, which is where this role will primarily focus. You'll act on the vendor/provider side, advising businesses developing and selling software, platforms and technology services to corporate, government and institutional customers.


Recent work has included white-label and reseller agreements for software businesses; development partner agreements and associated statements of work; end-user licence agreements for new applications; privacy policies and terms of use for AI platforms; and reviewing government and enterprise ICT procurement terms for vendors deploying technology into hospitals, schools and other large organisations.


The role also has a broader transactional element, including the sale of technology and software businesses, reviewing licensing arrangements as part of transactions, and undertaking due diligence on technology acquisitions.


We are ideally looking for someone at Special Counsel level, although we would also consider a strong Senior Associate. The key is autonomy. You need to be comfortable owning matters, settling the majority of your own work and dealing directly with clients.


You don't need to be a pure technology specialist. A strong general commercial lawyer with meaningful experience across IT, software, licensing or technology contracts would work well. Equally, someone already practising predominantly in TMT who is comfortable applying themselves in a general Commercial Law context would be a natural fit.

This enables flexibility around how, where and when their people work, provided they deliver on deadlines and client needs.


They have a space in Brisbane that a couple of their Senior Lawyers use when they want to get out of their home offices. The space is available to anyone who wants to use it, but it's not imposed if you'd rather WFH all the time.
