Job Summary:

This job is a highly experienced and strategic member of the legal team, often serving as the lead paralegal on major cases and projects. They have advanced legal knowledge, superior organizational skills, and the ability to independently manage complex and high-stakes matters. They act as a liaison between legal counsel, clients, and outside vendors, ensuring seamless coordination and exemplary service delivery.

Job Description:

Essential Responsibilities:

  • Lead the preparation and management of complex cases, including high-volume litigation and corporate transactions.
  • Provide strategic input during case planning, research, and pre-trial preparations.
  • Draft, review, and manage critical legal documents with minimal legal counsel oversight.
  • Oversee and coordinate discovery processes, including document production and e-discovery management.
  • Train, mentor, and review work of junior paralegals and support staff.
  • Maintain direct client relationships, managing expectations and ensuring superior service quality.

Minimum Qualifications:

  • 7 years of relevant work experience
  • Bachelors’ degree or paralegal certificate (ABA approved) is required.

Additional Responsibilities & Preferred Qualifications:

  • Responsible for day-to-day management of corporate governance matters for domestic and international subsidiaries, including:
    • Managing corporate entity database and outside local counsel
    • Preparing corporate minutes and resolutions, powers of attorney, and other required documentation
    • Preparing and maintaining certain regulatory filings, and working with outside vendors to ensure timely applications and renewals
    • Maintaining corporate entity records and entity organization charts
    • Supporting legal entity formation, merger, or dissolution processes
  • Work closely with treasury, tax, finance, and local counsel with respect to international corporate governance matters.
  • Assist in preparation and filing of SEC reports including Section 16 reports, proxy statement, Forms 10-Q, 10-K, 8-K
  • Assist in planning and execution of annual stockholders meeting
  • Support licensing, compliance, and KYC teams in responding to document and information requests
  • Provide support for mergers and acquisitions and equity investments as needed, including due diligence, agreements, certificates, checklists and other documents.

Additional Responsibilities & Preferred Qualifications:

  • Bachelors’ degree or paralegal certificate is required, in-house experience is a plus.
  • At least 5+ years of experience with a concentration in international subsidiary management/corporate governance. Proficient with Microsoft Office suite (Word, Excel, PowerPoint, OneNote) and SharePoint.  Experience with specialized database management programs (e.g., Diligent) a plus. 
  • Notary license is a plus.
  • Experience with M&A and equity investments a plus.
  • Well-organized, strong attention to detail, superior work product and excellent written and oral communication skills.
  • Ability to operate independently in a fast paced work environment and manage numerous projects simultaneously under deadline pressure.
  • Flexibility and willingness to work extended hours when necessary to complete projects in a timely manner and to accommodate working hours of local jurisdictions.
  • Excellent interpersonal skills and ability to work well with cross-functional teams, including finance, tax, global stock team, human resources, as well as outside law firms and auditors.
  • Team oriented, with a strong sense of humor, integrity and sound judgment.

The base pay for this role will depend on where you work and the relevant experience and expertise you bring. The expected range of pay for this role by location is:

Chicago, Illinois: ($38.70 - $55.26 Hourly)
Austin, Texas: ($38.70 - $55.26 Hourly)
Washington DC, District of Columbia: ($40.38 - $57.90 Hourly)
Scottsdale, Arizona: ($36.77 - $52.62 Hourly)
Omaha, Nebraska: ($36.77 - $52.62 Hourly)

Additional compensation for this role may include an annual performance bonus, equity, or other incentive compensation, as applicable.
