We are looking for an experienced, analytical Transaction Advisory Services Senior Associate to join our team and support clients through mergers, acquisitions, divestitures, and other strategic transactions. In this role, you will lead financial due diligence engagements, analyze target company financials, identify key deal risks and opportunities, and deliver actionable insights to clients. If you have a background in transaction advisory, investment banking, or public accounting (audit or advisory), and you thrive in a fast-paced, deal-driven environment, this fully remote role offers the opportunity to work on meaningful transactions with growing technology companies.


Key Responsibilities

  • Lead financial due diligence engagements for buy-side and sell-side transactions.
  • Analyze target company financial statements, including income statements, balance sheets, cash flow statements, and key operational metrics.
  • Identify and quantify normalized earnings, working capital adjustments, net debt, and other key deal metrics.
  • Evaluate quality of earnings (QoE), assess sustainability of EBITDA, and identify non-recurring or unusual items.
  • Identify key financial, operational, and commercial risks and opportunities within target companies.
  • Assess historical and projected financial performance, including revenue recognition, cost structure, and margin trends.
  • Serve as a primary point of contact for clients during due diligence engagements.
  • Provide actionable recommendations to clients on deal structuring, valuation, and negotiation points.
  • Prepare and present clear, concise due diligence reports summarizing findings, risks, and recommendations.
  • Supervise and mentor junior team members (associates and analysts) on due diligence engagements.

Requirements

  • Previous experience in transaction advisory services (TAS), financial due diligence, investment banking, corporate development, or public accounting (audit or advisory) with a focus on transactions.
  • Strong understanding of financial statements, accounting principles (GAAP), and financial analysis techniques.
  • Exceptional quantitative and analytical abilities with a keen eye for detail and the ability to synthesize complex financial data into actionable insights.
  • Excellent written and verbal communication skills with the ability to present findings clearly to clients and stakeholders.
  • Ability to manage multiple due diligence engagements simultaneously, meeting tight deadlines, and work effectively under pressure.
  • Advanced proficiency in Microsoft Excel (financial modeling, pivot tables, formulas) and PowerPoint (client presentations, reports). Experience with accounting software (QuickBooks, NetSuite, Saga) or data analytics tools (Alteryx, Tableu) is a plus.
  • Ability to work independently in a remote environment, take ownership of engagements, and proactively identify issues and solutions.

Compensation

The base pay range for this role is $115,000 – $120,000 per year.
