- Exercise strong judgment across diverse industries and deal structures, tailoring diligence scope and procedures to deal size, complexity, timeline, and client objectives
- Direct quality of earnings workstreams, including EBITDA and adjusted EBITDA bridges, proof of cash, revenue and margin analyses, and normalization adjustments; review and approve diligence reports, databooks, and management presentations before client delivery
- Analyze net working capital, net debt and debt-like items, and cash flow conversion to support purchase price negotiations, peg mechanisms, and SPA/APA terms, including review of closing statements and purchase price adjustments
- Evaluate historical results, trends, and budget and forecast assumptions for target companies; assess the reasonableness of projections and synergy cases to inform valuation, deal structuring, and investment decisions
- Identify key deal risks and value drivers, including accounting, tax, and compliance exposures, internal control weaknesses, and off-balance-sheet liabilities; communicate findings and recommendations to deal teams, investment committees, and senior stakeholders
- Support integration and separation planning, including Day 1 readiness, opening balance sheet and purchase accounting considerations, and financial close and reporting process design
- Manage engagement economics and workplan, including scoping, staffing, budgets, and timelines; coach and develop senior associates and staff; and build client relationships to drive repeat business and pursuit support (proposals, credentials, and pitch meetings)
- Serve as liaison with external deal team members and provide reliable communication to keep all internal and external stakeholders informed on status to manage expectations and deadlines.
- Oversee and manage engagement discovery, planning, staffing, budgets, timelines, and deliverables to ensure successful outcomes across multiple concurrent clients.
- Provide leadership to remote and hybrid teams, including coaching, feedback, workload review, and performance evaluations.
- Lead onboarding of new clients, support system implementation, and continuously improve financial processes and operational efficiency.
