Vice President, Commercial and Product Counsel

Remote (U.S.) | Full-Time | Legal, Privacy & Regulatory | Reports to the Chief Privacy and Regulatory Officer

This is a full-time position and not open to contract work.

Company Overview

We’re solving one of healthcare’s biggest problems: fragmented health data.

b.well Connected Health believes people should own and be able to act on their health data. Our platform connects data across providers, payers, employers, and devices into a single, personalized experience, giving individuals the insights and tools to make better decisions for themselves and their families. We are headquartered in Baltimore, MD, recognized as a Best Place to Work in Healthcare by Modern Healthcare, and driven by a team that is humble, creative, and bold. If you want your work to matter in healthcare, this is the place.

The Role

We’re seeking a Vice President, Commercial and Product Counsel to be one of b.well’s senior in-house transactional and product lawyers. You’ll advise across the company’s entire portfolio, with a primary focus on our Commercial, Strategic Partnership, Client Success, and Product teams.

You’ll negotiate and structure complex customer, partner, and data-sharing agreements, counsel product teams on privacy, data rights, consent, and AI from design through launch, and build health data interoperability, governance, and privacy requirements into how b.well sells, delivers, and builds. Reporting to the Chief Privacy and Regulatory Officer, you are a business-minded legal leader who enables growth by making b.well easy to do business with while protecting the company, our customers, and the consumers we serve.

What You’ll Do

Lead Commercial Transactions and Client Success

  • Lead negotiation and structuring of master services agreements, order forms, statements of work, business associate and data-sharing agreements, and strategic partnership agreements with health systems, payers, pharmacies, employers, and technology partners
  • Maintain and evolve b.well’s contract templates, negotiation playbooks, and fallback positions, and train Commercial and Client Success teams to use them
  • Serve as primary legal partner to Sales, Business Development, and Client Success on pricing and packaging terms, RFP and security-questionnaire responses, renewals, amendments, escalations, and disputes
  • Review and redline inbound customer and vendor paper, with clear accept, reject, and counter-propose recommendations and the business rationale behind them

Counsel Product Teams

  • Provide product counseling from concept through launch and iteration for our data platform, developer tools, and consumer-facing applications
  • Advise on consent, individual access, data use and disclosure, user-facing terms, privacy notices, tracking technologies, and AI-enabled features
  • Partner with Product, Engineering, and Security on privacy- and compliance-by-design, risk assessments, and go-to-market readiness

Translate Interoperability, Privacy, and Regulatory Requirements

  • Turn health data interoperability requirements (HIPAA right of access, 21st Century Cures Act and information blocking, TEFCA and other exchange frameworks, CMS and ASTP/ONC rules, state health privacy laws) into practical contract terms and product guidance
  • Support the Chief Privacy and Regulatory Officer in monitoring regulatory change, assessing its impact on contracts and products, and engaging with regulators and industry groups
  • Advise on emerging technology and AI governance, intellectual property, and licensing matters touching commercial and product work

Lead and Scale the Legal Function

  • Lead, coach, and develop legal team members; manage outside counsel, budgets, and legal technology
  • Build scalable processes, intake, matter management, and reporting that increase the speed and consistency of legal support
  • Brief executive leadership on legal risk, deal trends, and recommended positions
  • Contribute to company policies, training, and internal knowledge resources, and support diligence, corporate, and financing matters as needed

What You Bring

Required

  • J.D. from an accredited law school and active bar membership in good standing in at least one U.S. jurisdiction
  • 12+ years of legal experience, including significant in-house or law firm transactional work for healthcare or health IT companies
  • Demonstrated experience negotiating complex technology, SaaS, data-sharing, and platform agreements with health systems, payers, or other regulated healthcare customers
  • Experience counseling product and engineering teams on regulated, data-driven products
  • Experience leading or mentoring lawyers or managing outside counsel
  • Strong working knowledge of health data interoperability: HIPAA (including the individual right of access), the 21st Century Cures Act and information blocking rules, and how data moves through health information networks and exchanges
  • Working knowledge of U.S. state privacy and health data laws and data protection program requirements
  • Excellent judgment, with the ability to assess and communicate risk in business terms and make decisions independently
  • Clear, concise written and verbal communication with technical and non-technical audiences
  • A collaborative, sleeves-rolled-up mindset and comfort in a fast-paced, ambiguous growth-stage environment

Preferred

  • Experience with FHIR (R4), USCDI, SMART on FHIR, TEFCA, CARIN Blue Button, or comparable standards, and with query-based exchange
  • Familiarity with ASTP/ONC, CMS, OCR, and FTC authorities, and experience in formal or informal rulemaking and industry coalitions
  • Experience at a consumer-facing digital health, health IT, payer, or health information network organization
  • Experience writing terms of service and privacy policies and advising on AI governance
  • Startup or growth-stage experience, including building legal functions and processes from the ground up
  • Passion for making healthcare simpler for consumers

What Makes You Successful Here

  • Influence: You translate complex law and contract risk into decision-ready guidance for executives, commercial leaders, product teams, and customers, and represent b.well credibly with senior counterparties and in industry and regulatory settings.
  • Ownership: You own outcomes across the commercial and product portfolio, set pragmatic positions that protect b.well while keeping deals and launches moving, and build playbooks and processes that scale.
  • Partnership: You’re a trusted partner to Sales, Client Success, Product, Engineering, Security, and Marketing.
  • AI fluency: You use AI tools to increase legal team throughput (contract review, research, drafting) with sound judgment about confidentiality, accuracy, and privacy, and you counsel product teams on responsible AI.

Details

  • Location: Fully remote (U.S.); travel up to 10% for customer, partner, and industry meetings
  • Team: Leads legal team members and directs outside counsel and legal vendors
