Position Overview:
Tract Capital is seeking a Vice President, Corporate Counsel – Energy Project Development to support the development, financing, construction, and operation of energy infrastructure that powers Tract Capital’s digital infrastructure strategies, including Tract and Fleet Data Centers. Reporting to the Senior Vice President, Senior Counsel, this is a highly visible, hands-on role working closely with leaders across the energy development, construction, supply chain, finance and project development teams. The role will translate legal, regulatory, commercial, and execution risks into practical recommendations that help Tract advance projects and transactions with appropriate protections and discipline.
Job Responsibilities:
Advise on complex energy projects across the full development lifecycle, from site selection, project structuring, through development agreements, permitting, utility interconnection, energy supply, equipment procurement, EPC contracting, construction, financing, commercial operation, and ongoing compliance. The role will be expected to translate legal, regulatory, commercial, and execution risks into practical recommendations that help Tract advance projects with appropriate protections and discipline. The successful candidate will be a self-starter who is comfortable working in a fast-paced, entrepreneurial, team-oriented environment with limited day-to-day oversight.
Key responsibilities include:
- Lead legal support for energy generation, storage, and power infrastructure projects from development through operation and compliance.
- Advise on feasibility, site control, project companies, joint ventures, governance, and stage-gate decisions.
- Draft and negotiate development, joint venture, MOU, term sheet, and related formation documents.
- Negotiate EPC and construction agreements, including schedule, performance, security, warranty, and risk-allocation terms.
- Structure limited notices to proceed, early works, equipment reservations, procurement agreements, and long-lead equipment protections.
- Advise on permitting, environmental, utility, interconnection, transmission, ISO/RTO, and energy regulatory matters.
- Draft and negotiate PPAs, capacity, tolling, offtake, gas, transportation, and O&M agreements.
- Support financings, including equity, debt, tax equity, security, and lender rights.
- Manage project execution risks, including change orders, claims, delays, licensing, commissioning, and disputes.
- Partner cross-functionally, manage advisers, and build repeatable legal processes, templates, and playbooks.
Baseline Requirements:
Education/Accreditations: JD required from an ABA-accredited law school. Admitted to and in good standing with a state bar.
Experience: 10+ years of relevant legal experience, preferably including both law-firm and in-house experience in energy, infrastructure, project development, construction, project finance, or related fields. Demonstrated experience advising on energy or infrastructure projects, from early development through operation. Meaningful experience drafting and negotiating EPC, equipment procurement, development, interconnection, energy supply, offtake, O&M, financing, and joint venture agreements.
Required Expertise and Skills:
- Energy project development across generation, storage, transmission, substations, natural gas, utilities, data centers, and digital infrastructure.
- EPC and construction contracting, including risk allocation, schedules, performance protections, security, change orders, claims, and long-lead procurement.
- Project and structured finance, including equity, debt, tax equity, lender diligence, security packages, direct agreements, consents, assignments, and remedies.
- Permitting and regulatory matters involving environmental, land use, utility, state commission, FERC, ISO/RTO, and local approvals.
- Behind-the-meter, islanded, grid-connected, and customer-dedicated energy projects across multiple U.S. markets.
- Ability to translate technical, commercial, financial, and regulatory issues into practical business advice.
- Excellent judgment, legal drafting, negotiation, project management, and issue-spotting skills.
- Executive presence, clear communication, and ability to build trust with senior leaders and cross-functional stakeholders.
- Collaborative, self-directed, solutions-oriented, and comfortable operating with urgency and ambiguity in a high-growth environment.
Travel: This position requires time with the market teams and, therefore, may require travel to Tract markets.
Salary Range (based on experience):
$250,000-$285,000 plus discretionary bonus and equity participation
