BCEJ is working on a solar system, biodegradation, wind turbine system, and drone system. We urgently need a corporate tech and venture capital barrister and a strategic business partner to join our legal team to design an original, scalable, viable, and innovative technology. The role will be compensated with equity stock or equity compensation. Employees are given equity stock or equity compensation as a form of non-cash compensation. Equity compensation may include options, restricted stock, and performance shares; all these investment vehicles represent ownership in the company for a company's employees. We need an experienced Corporate Tech and Venture Capital Barrister capable of providing legal assistance on corporate issues, patency, trademarks, copyright, legal support, asset acquisitions, transactions, partnerships, project support, mergers, compliance issues, and restructuring. Your main objective will be to support all the company's projects in compliance with UK laws and regulations, and avoid legal risks and violations. More importantly, we need a competent legal professional who can swiftly adjust to a new business objective and help us achieve peak performance. The ideal candidate will possess exceptional negotiation, communication skills, and attention to detail. Some of the projects are designing, manufacturing and launching infrastructural technologies with inbuilt system software for solar systems, biosystems, wind turbine systems, and drone systems. In addition, there is an ongoing project to design a mobile banking system that will compete and outwit the likes of the Industrial and Commercial Bank of China, JPMorgan Chase, and HSBC, respectively. The second main objective would be to secure venture capital funding for the ongoing projects. You will need to support the team to transform conceptual ideas into marketable products. The legal support would assist BCEJ to use integrated design, engineering, and business knowledge to develop marketable products. One of our upcoming challenges will be to create cutting-edge mobile banking technology. You would be expected to provide exceptional advice and guide our scientific discoveries and new technologies into useable products, which requires substantial effort and team support. The third main objective would be to conduct legal research to support the design of mechanical systems, develop prototypes, and conduct tests on a variety of mechanical machines like solar, windmill, and biodegradation systems, cars, robotics, and appliances, among others. You would need to apply for patency, trademark, copyright for the proof-of-concept models with expectational design features, functional prototypes, review the product, and deliver a top-notch finished product. Also, you will support all the company's projects in compliance with UK laws and regulations, and avoid legal risks and violations. You would be consulting and legally supporting all projects, designs, processes, patency, mergers, compliance issues, and partnerships. More importantly, we need your adaptability skills to swiftly adjust to a new business objective and help us achieve peak performance. The ideal candidate will possess exceptional negotiation, communication skills, and attention to detail. 1. Secure venture capital funds for the projects. 2. Apply for patency, trademarks, and copyright. 3. Deals are negotiated on behalf of the company. 4. Advice and support for all projects, processes, and innovations. 5. Examine new vendor and subcontractor business partnerships. 6. To ensure compliance with legal regulations, advise management on regulatory and compliance issues. 7. To collaborate closely with all departments on various corporate projects, including the preparation and management of data rooms, due diligence exercises, and disclosure processes. 8. To manage risk, ensure good governance, and protect the BCEJ brand and reputation. 9. Assisting with the revision and development of precedents, training, advice notes, and other documents. 10. To provide corporate legal expertise on the BCEJ group's acquisitions, disposals, joint ventures, new and existing investments, and other forms of partnerships around the world. 11. Draft an ironclad contract for the company's acquisition process. 12. Examine new vendor and subcontractor business partnerships. 13. In legal proceedings, represent the company. 14. Create and supervise the company's legal policy and position. 15. Protect the company from legal risks and violations. 16. Investigate the legal ramifications of new products and services. 17. To ensure compliance with legal regulations, advise management on regulatory and compliance issues. 18. Negotiate, and advise on corporate transactions, collaborating with outside counsel as needed. 19. Prepare the necessary legal documents for a trial or court case. 20. To help with new or existing financial instruments. 21. To collaborate closely with the Head of Business & Legal Affairs, Corporate & Operations on various corporate projects, including the preparation and management of data rooms, due diligence exercises, and disclosure processes, and to provide general support to the corporate legal team. 22. To provide early-stage deal teams with preliminary advice on optimal deal structures and to alert BCEJ on regulatory and other potential risks. 23. Working closely with the Company Secretariat to ensure that all necessary internal transaction approvals are obtained quickly and efficiently. 24. To manage risk, ensure good governance, and protect the BCEJ brand and reputation, ensure compliance with BCEJ policies and procedures as well as relevant legislation and regulations. 25. Assisting with the revision and development of precedents, training, advice notes, and other documents. 26. Experience drafting and negotiating corporate contracts, such as shareholder agreements, articles of incorporation, and sale and purchase agreements. 27. Experience with simple contracts, such as confidentiality agreements, exclusivity letters, and powers of attorney. 28. Experience conducting a due diligence exercise and a disclosure process, including the preparation, maintenance, and closure of an electronic data room. 29. Solid knowledge of English contract and company law, as well as intellectual property rights. 30. Capability to anticipate potential issues and develop practical commercial solutions. 1. The postholder must be a UK qualified barrister with some post-qualification experience (ideally 1+ years). 2. A Bachelor's degree in law is required. 3. Be a UK resident and work permit (able to work in the UK) because we need to run a security check on you to protect the business. We need to be sure BCEJ is safe to disclose our projects. We can help secure funding for a work visa on a rare occasion. 4. Fully licenced to practise law in the UK. 5. Excellent verbal and written communication skills. 6. Analytical in nature, with a keen eye for detail. 7. Proficient in venture capital funds, patency, trademarks, and copyright. 8. Outstanding management and negotiation abilities. 9.
