About the Role

My client, a leading provider of services to regulated funds and investment entities, is seeking an experienced Funds Company Secretary to join their team. This is a great opportunity for a candidate with experience in Central Bank of Ireland regulated funds and entities to play a key role in supporting corporate governance and statutory compliance.

Key Responsibilities

  • Act as the main point of contact for company secretarial matters for a portfolio of regulated funds, fund management companies, and MiFID investment firms.
  • Prepare board and committee meeting agendas, collate packs, and attend meetings to take minutes and track follow-up actions.
  • Ensure compliance with Central Bank of Ireland governance standards, Corporate Governance Code requirements, and Fitness & Probity obligations.
  • Manage statutory filings with the Companies Registration Office and the Central Bank in line with deadlines.
  • Assist with onboarding of pre-controlled function (“PCF”) and controlled function (“CF”) roles, including collating necessary documentation and completing Central Bank Individual Questionnaires.
  • Maintain statutory registers and support the incorporation of new companies and ICAVs.
  • Act as Central Bank Portal Administrator, managing access and filing scheduled and ad hoc returns.
  • Contribute to process improvements, internal initiatives, and training within the team.

Experience & Skills

  • Minimum 2–3 years’ experience in a company secretarial role, ideally supporting regulated funds or entities.
  • Strong understanding of the Companies Act, ICAV Act, and Central Bank governance requirements.
  • Excellent organisational and time management skills, with attention to detail.
  • Proven ability to draft clear board minutes and documentation.
  • Experience with company secretarial software and board portals desirable.
  • Chartered Governance Institute qualification advantageous.
  • Confident working both independently and collaboratively in a team environment.
