Business & Commercial Law Paralegal - full time or part time We are seeking an experienced Business & Commercial Law Paralegal to support a U.S. law firm handling corporate transactions, contracts, business formation, governance, and commercial matters. This is a fully remote role for a legal professional with strong transactional experience, excellent drafting skills, and hands-on experience supporting U.S. business attorneys and their clients. Key Responsibilities Support attorneys with business formation, corporate governance, contracts, and commercial transactions. Prepare and organize entity formation documents for LLCs, corporations, partnerships, and other business entities. Draft and revise operating agreements, bylaws, resolutions, consents, amendments, and related corporate documents. Assist with contract drafting, review, and management, including service agreements, vendor agreements, NDAs, licensing agreements, and other commercial contracts. Maintain corporate records, minute books, ownership records, and organizational documents. Assist with mergers, acquisitions, asset purchases, stock purchases, and other business transactions. Coordinate due diligence, organize data rooms, and track outstanding transaction documents. Prepare closing checklists, signature packets, exhibits, schedules, and closing documents. Conduct business entity searches, UCC searches, and other corporate research. Assist with annual reports, registrations, amendments, and other state filings. Communicate directly with clients, attorneys, accountants, registered agents, vendors, and other parties. Track transaction deadlines, contract obligations, renewal dates, and corporate filing requirements. Assist attorneys with commercial disputes and litigation support when required. Maintain accurate and organized digital matter files. Work within the firm's case management and document management systems. Follow established firm procedures and quality standards. Candidate Requirements Minimum 5 years of professional experience as a Paralegal, Lawyer, or Attorney. Minimum 2 years of experience working with a business or commercial law firm in the United States. Strong hands-on experience with U.S. business and commercial law matters. Experience with business entity formation and corporate governance. Experience drafting and reviewing contracts and corporate documents. Familiarity with LLCs, corporations, partnerships, operating agreements, bylaws, resolutions, and ownership records. Experience supporting mergers, acquisitions, business sales, or other commercial transactions. Experience with corporate due diligence and transaction closing processes. Familiarity with state corporate filings, annual reports, and UCC filings. Experience working directly with U.S. attorneys and business clients. Strong legal drafting and document preparation skills. Experience with legal case management or contract management software. Advanced proficiency with Microsoft Office 365 or comparable cloud-based business tools. Excellent written and verbal English communication skills. High attention to detail and strong organizational skills.
