Description Summary:
DC BLOX is seeking a Corporate Counsel – Construction to provide legal support for the development and construction of its data center and digital infrastructure projects. Reporting to the General Counsel, this attorney will partner closely with construction, development, and procurement teams as well as outside counsel to structure and negotiate project agreements, advise on contract requirements during construction, and address risks and disputes from initial contracting through commissioning and closeout.

The ideal candidate brings substantial experience with complex construction projects, strong knowledge of AIA contract documents, and sound commercial judgment. This role requires an attorney who can translate legal requirements into practical guidance, track multiple work streams and bring them to completion within required timelines, anticipate issues before they escalate, and help project teams meet business objectives while protecting DC BLOX’s contractual rights. The ideal candidate should be willing to perform legal work in other areas when needed and time permitting, which may include commercial contracting and financial due diligence.

Essential Duties:

  • Claims identification and management. Identify, evaluate, preserve, and help resolve potential claims involving customers, general contractors, subcontractors, designers, and equipment suppliers, including claims by or against DC BLOX relating to delays, disruption, defective work, scope changes, additional costs, and liquidated damages. Help project teams maintain contemporaneous records supporting entitlement, causation, schedule impacts, and costs.

  • Construction contract administration. Advise project teams on contractual requirements throughout construction, including project finance requirements, contingencies, change orders, change directives, schedule adjustments, substantial and final completion, warranties, and closeout.

  • Project monitoring. Work closely with construction leadership and project managers to monitor project schedules, milestones, costs, changes, and emerging issues. Participate in internal project meetings and review relevant reports and correspondence to identify matters requiring legal attention.

  • Notices and deadline tracking. Establish and maintain processes for tracking contractual notice requirements, response periods, approval deadlines, cure periods, claim submission deadlines, and other critical obligations. Draft and coordinate timely notices, reservations of rights, demands, and responses.

  • Contract negotiation and execution. Draft, review, and negotiate ancillary project documents, including vendor, architectural, engineering, consulting, and equipment procurement agreements. Assist with negotiation, drafting, and review of major construction, design-build, general contractor, and similar agreements, including AIA forms and amendments. Manage external counsel when used for material projects. Coordinate internal review, external requirements such as project financing and customer contracts, approvals, and execution.

  • Customer and contractor coordination. Review customer leases, work letters, and other project commitments alongside construction agreements to identify gaps in scope, schedule, risk allocation, and remedies. Help align contractor obligations with DC BLOX’s commitments to customers and advise on customer-requested changes.

  • Risk management and dispute resolution. Advise on insurance, indemnities, liability limitations, performance security, liens, defaults, termination rights, and warranty obligations. Support commercial resolution of disputes and coordinate external counsel when needed.

  • Processes and training. Develop contract templates, playbooks, obligation trackers, and practical guidance that improve consistency and efficiency. Train construction and other business teams on contract administration, documentation, and escalation of legal issues.

Education/Training/Experience:

  • J.D. from an accredited law school and active membership in good standing in at least one U.S. state bar, with eligibility to practice as in-house counsel in the applicable jurisdiction.

  • At least 5 years of legal practice with substantial experience advising on complex construction projects.

  • Strong familiarity with AIA contract documents, including negotiating amendments and administering agreements based on those forms.

  • Experience negotiating equipment procurement and supply agreements, including terms addressing long lead times, delivery commitments, warranties, and supplier performance.

  • Experience drafting and negotiating construction agreements and advising on project performance, changes, delays, claims, and contractual notices.

  • Ability to interpret interconnected project agreements (i.e., customer and general contractor) and translate legal requirements into clear, practical direction for construction teams.

  • Strong drafting, negotiation, organizational, and analytical skills, including the ability to manage multiple projects and time-sensitive obligations.

  • Sound commercial judgment and the ability to work independently while collaborating closely with legal and business colleagues.

Preferred Qualifications:

  • Experience representing developers or owners, including managing the relationship between general contractor obligations and customer requirements.

  • Experience drafting, negotiating, or administering engineering, procurement, and construction (EPC) agreements, capital supply agreements, professional services agreements, and other ancillary documentation.

  • Experience with data centers, power infrastructure, industrial facilities, or other technically complex, capital-intensive projects. Commercial real estate experience is also highly favored.

  • Experience with customer work letters, build-to-suit developments, guaranteed maximum price arrangements, design-build delivery, and owner-furnished equipment.

  • Experience supporting construction claims, dispute resolution, or litigation, including development of supporting project records.

  • Prior in-house experience or experience working directly with construction and project management teams.
