The role coordinates accurate, timely delivery of governance-related services and materials, including annual and special meeting support, proxy and shareholder communications, regulatory filing coordination, and maintenance of client records and project documentation.
This position serves as a day-to-day operational partner for clients and works closely with internal proxy, transfer agency, compliance, legal, sales, and client service teams. Success is measured through accuracy, responsiveness, adherence to regulatory and client deadlines, effective project coordination, and a consistently high standard of client service.
Core Duties/Responsibilities
The successful candidate will be responsible for the following:
- Coordinate corporate governance projects for public-company clients, including annual and special shareholder meetings, proxy-related activities, and associated communications.
- Maintain project plans, calendars, checklists, client records, approvals, and supporting documentation to ensure milestones and deadlines are clearly tracked.
- Assist with the preparation, review, and distribution of proxy materials, meeting notices, ballots, scripts, reports, and other governance-related deliverables.
- Coordinate with clients, counsel, printers, filing agents, transfer agency teams, proxy partners, and other service providers to obtain required information and keep projects moving to completion.
- Support regulatory filing workflows, including the collection and validation of information required for SEC and exchange-related submissions, while escalating legal or interpretive questions to the appropriate subject-matter expert.
- Provide day-to-day client support by responding to requests, researching issues, documenting decisions, and communicating status, risks, and next steps clearly.
- Monitor voting and meeting-readiness activities, support preliminary and final reporting, and help reconcile discrepancies before client deliverables are issued.
- Perform quality-control reviews to confirm that names, dates, record dates, meeting details, security information, and other critical data are accurate and consistent across materials and systems.
- Identify potential timing, data, compliance, or execution risks and escalate concerns promptly to the appropriate manager or functional partner.
- Partner across Issuer Direct, Transfer Agency, Proxy, Compliance, Legal, Sales, and Client Services to deliver an integrated client experience.
- Maintain current procedures, templates, and process documentation; recommend practical improvements that strengthen controls, efficiency, and service quality.
- Protect confidential client, shareholder, and transaction information and follow all applicable information security, recordkeeping, and internal-control requirements.
- Support client onboarding, cross-training, and other team priorities as assigned.
Skills, Capabilities and Attributes
The successful candidate will demonstrate the following experience, skills and behaviors:
- 2+ years of experience in corporate governance, proxy services, issuer services, securities operations, legal or corporate secretarial support, investor relations, compliance, or a related client-service environment.
- Working knowledge of public-company governance and shareholder-meeting processes; familiarity with SEC proxy rules, exchange requirements, and transfer agency concepts is preferred.
- Experience coordinating deadline-driven projects involving multiple internal and external stakeholders.
- Strong attention to detail and a demonstrated ability to review documents, data, and instructions for accuracy and completeness.
- Clear, professional written and verbal communication skills, including the ability to explain status, requirements, and issues to clients and colleagues.
- Ability to organize competing priorities, maintain accurate records, and meet fixed regulatory and client deadlines.
- Sound judgment and the ability to recognize risk, protect confidential information, and escalate issues appropriately.
- Proficiency with Microsoft Office, particularly Outlook, Word, Excel, PowerPoint, and Teams; experience with governance, proxy, filing, CRM, or workflow platforms is preferred.
- Collaborative, service-oriented approach with the ability to work independently within established procedures.
- Experience in Proxy voting platforms such as Broadridge and Mediant.
- Bachelor’s degree in business, finance, legal studies, communications, or a related discipline preferred, or equivalent relevant experience.
Compensation
