New Ventures Group AG is a Zurich-based venture capital company focused on early-stage

investments at pre-seed and seed level. We support innovative businesses with capital and

strategic, financial and operational expertise.

We are looking for an entrepreneurial legal professional to combine two roles: As Internal Legal

Counsel, you will lead the legal work for New Ventures Group, with a central focus on capital

markets law. As CEO of New Ventures Instruments AG, you will take responsibility for the

company’s management and development. This role combines legal expertise, operational

leadership and an equity partnership.

Your responsibilities

• Capital markets and financing structures: Design, structure and implement bonds, other
• financing instruments and investment structures from a legal perspective; prepare and review
• the related issuance, contractual and investor documentation.
• Executive leadership: Lead the strategic and operational development of New Ventures
• Instruments AG, including business development, partnerships, processes and financial
• performance.
• Regulation and compliance: Assess the requirements relevant to products and business
• models, and coordinate with external specialists, banks and other partners.
• Corporate law and transactions: Advise on ownership structures, financing rounds and
• corporate governance; draft, review and negotiate agreements in German and English.
• Employment law: Provide supplementary advice on employment contracts, remuneration and
• equity participation schemes, executive and board agreements, and terminations; coordinate
• external counsel on disputes and proceedings.
• Commercial advice: Work closely with management, the investment team and portfolio
• companies to develop legally sound and commercially viable solutions.

• Your profile
• A law degree; admission to the Swiss bar or an equivalent qualification is an advantage.
• Strong knowledge and practical experience in capital markets and financial regulatory law,
• supported by sound corporate and contract law expertise.
• Experience with securities issuances, financing instruments, investment structures or
• comparable transactions.
• Sound knowledge of Swiss employment law and the ability to handle ongoing employment
• matters pragmatically.
• An entrepreneurial mindset, commercial judgement and a willingness to take operational
• responsibility and accountability for results.
• Leadership experience or a demonstrated ability to build and lead a business.
• An independent, structured and pragmatic approach with a strong focus on execution;
• excellent written and spoken German and English.
