JOB SUMMARY This pivotal role as the Head of Legal and Corporate Affairs at CEQUENS involves shaping the company's legal strategy, ensuring global regulatory compliance, and managing corporate affairs. The Head of Legal and Corporate Affairs will play a crucial role in guiding the company through IPO processes, negotiating contracts with senior stakeholders, and contributing to overall growth and success. MAIN AREAS OF RESPONSIBILITY Legal Strategy Development Develop and implement the company's legal strategy to align with business objectives and global regulatory requirements. Provide strategic legal advice to senior management, particularly regarding IPO considerations and corporate governance matters. Corporate Governance Oversight Oversee corporate governance practices, ensuring compliance with international laws, regulations and corporate policies. Monitor changes in governance standards and recommend adjustments to internal practices as needed. Legal Compliance Management Stay abreast of regulatory developments and ensure the company's compliance with relevant laws and regulations across various jurisdictions. Establish and maintain compliance programs to mitigate legal risks associated with IPO processes and ongoing operations. Contract Negotiations with Senior Players Lead contract negotiations with senior stakeholders, ensuring favourable terms and risk mitigation. Collaborate with internal teams to develop contract strategies that align with business objectives and legal requirements. IPO Facilitation Facilitate the IPO process by coordinating with external advisors, regulatory bodies, and internal stakeholders. Ensure compliance with IPO requirements and manage legal documentation and filings accurately and efficiently. Intellectual Property Protection Oversee the management and protection of the company's intellectual property portfolio on a global scale. Implement strategies to safeguard intellectual property rights and enforce legal protections as necessary. Corporate Record Maintenance Maintain accurate corporate records and documentation, including board meeting minutes, shareholder agreements, and regulatory filings. Ensure compliance with record-keeping requirements and facilitate audits related to IPO processes. Crisis Management and Dispute Resolution Develop and implement crisis management plans to address legal and reputational risks effectively. Manage disputes and litigation matters, overseeing external counsel and representing the company in legal proceedings when necessary. Education Bachelor's degree in Law or a related field required; Master's degree or Juris Doctor (JD) preferred. Experience 10+ years of experience in legal and corporate affairs ideally wiithin a SME tech bsuiness. Skills Strong leadership and managerial skills, with the ability to inspire and motivate a team. Familiarity with IPO processes and requirements, including legal documentation and regulatory filings. Strong understanding of intellectual property law and effective strategies for protecting intellectual property rights globally.
