About the opportunity

As our Senior Legal Counsel, reporting to our EVP Chief Legal Officer, you will provide practical, business-focused legal support for Sagent’s FinTech software and services offerings for the mortgage servicing industry. You will draft, negotiate, and advise on technology agreements, support complex commercial transactions, and help refine an efficient, scalable contracting process. Working closely with product, customer success, partnerships, privacy/data security, and sales, you will translate business and technology requirements into clear contractual terms that support growth and manage legal risk.

Your Day to Day at Sagent:

• Independently draft, review, and negotiate technology agreements supporting multiple loan servicing platforms, including SaaS agreements, master services agreements (MSAs), and statements of work (SOWs).
• Advise on contract renewals and the modernization of legacy agreements, developing practical approaches that address business objectives and legal risk.
• Partner with product management, customer success, sales, partnerships, and privacy/data security teams to resolve contractual issues and provide clear, actionable legal guidance.
• Help improve contracting workflows, templates, and legal processes to support consistent, efficient execution of commercial transactions.
• Maintain a strong understanding of Sagent’s product offerings and translate software, cloud computing, and services delivery models into appropriate contractual terms.

We'd love to hear from you if you have:

• 7 years of legal experience, preferably including 5 years negotiating technology-related contracts.
• A U.S. law degree (J.D.) and an active license to practice law in at least one state.
• Experience independently drafting, negotiating, summarizing, and closing technology transactions, with sound judgment on when to escalate significant legal or business issues.
• The ability to manage competing priorities and provide responsive legal support in a fast-paced team environment.
• Experience addressing intellectual property matters in a SaaS environment.
• Experience drafting and negotiating cloud computing agreements.
• Strong analytical, troubleshooting, and problem-solving skills, with the ability to communicate practical recommendations clearly.
• The ability to collaborate effectively with business and product teams and translate legal considerations into actionable business guidance.
• Experience analyzing business and technology system architectures, databases, and client applications and translating them into an appropriate contracting framework.
