Remote | In-House Counsel — $90–$130/hour
24-MAGWe are sharing a specialised part-time consulting opportunity for experienced In-House Counsel with strong expertise in technology transactions, contract drafting, contract negotiation, and redlining to contribute to an advanced legal AI training and evaluation project.
Selected professionals will review and assess contract redlining workflows, simulate negotiations, evaluate AI-generated contract responses, and help define rigorous standards for legal risk identification and contract interpretation. The work is particularly suited to lawyers with substantial in-house experience handling technology transactions and complex commercial agreements.
Key Responsibilities
Contract Drafting & Redlining
- Perform simulated contract negotiations and redlining exercises
- Review and revise commercial agreements using professional in-house legal standards
- Identify legal, commercial, and operational risks in contract language
- Assess whether proposed edits appropriately address risk allocation and business objectives
- Maintain consistency and precision across iterative contract revisions
Technology Transactions
- Apply practical legal judgement to technology-focused commercial agreements
- Work with agreement types such as MSAs, NDAs, ISDAs, and derivatives-related documentation
- Evaluate contractual provisions in the context of commercial and technology transactions
- Identify issues involving liability, obligations, risk, and contractual interpretation
- Apply in-house legal judgement to realistic negotiation scenarios
AI Contract Evaluation
- Review AI-generated responses to contract and negotiation scenarios
- Identify weak legal reasoning, inaccurate interpretations, and inappropriate drafting choices
- Evaluate whether AI-generated redlines reflect sound legal judgement
- Provide detailed expert feedback to improve model precision and reliability
- Help improve AI systems designed to support contract review and legal analysis
Evaluation Frameworks & Grading Criteria
- Create objective evaluation frameworks for contract-related tasks
- Define grading criteria for legal reasoning, drafting quality, and risk identification
- Establish consistent standards for assessing AI-generated legal work
- Document strong and weak responses with clear reasoning
- Support rigorous and repeatable model evaluation
Cross-Functional Legal Collaboration
- Collaborate with product, research, and technical teams
- Help refine legal datasets, evaluation guidelines, and contract-review workflows
- Translate legal expertise into structured and actionable feedback
- Contribute to best practices for AI-assisted legal review
- Communicate complex legal concepts clearly to cross-disciplinary stakeholders
Ideal Profile
- Minimum of 3 years of in-house legal experience
- Strong focus on technology transactions and commercial contracting
- Hands-on experience negotiating and redlining MSAs, NDAs, ISDAs, derivatives documentation, or comparable agreements
- Strong contract-drafting and negotiation skills
- Ability to identify legal and commercial risk with precision
- Excellent written and verbal communication skills
- Meticulous attention to detail
- Strong analytical judgement and ability to translate legal expertise into structured feedback
- Comfortable working with product, research, technical, or other cross-functional teams
- Interest in legal technology and AI-driven contract analysis
- Prior experience with AI, legal-tech products, or AI-training initiatives is advantageous but not required
Engagement Details
- Part-time independent contractor engagement
- Fully remote
- Compensation: $90–$130/hour
- Compensation is task-based, with payment tied to completed tasks that meet project specifications
- Average handling time is approximately 3.5 hours per task
- Effective hourly earnings may vary depending on task completion time and successful sign-off
- Work will involve contract drafting, redlining, negotiation simulations, AI-output evaluation, and legal-quality framework development
- Strong technology-transactions and commercial-contracting experience is central to this engagement
- Project scope, workload, contract types, and evaluation standards may evolve depending on project requirements
- Work must be completed without using confidential or proprietary information belonging to any employer, client, law firm, institution, or other third party
