About the Role:
We are seeking an experienced Senior Corporate Attorney to lead sophisticated corporate and transactional matters for middle-market businesses. This role is ideal for a seasoned attorney who can independently manage complex transactions from inception through closing while serving as a trusted legal advisor to business owners, executives, and entrepreneurs.
In addition to extensive corporate transactional experience, the ideal candidate will have familiarity with securities matters, enabling them to advise clients on a broad range of corporate governance, financing, and regulatory issues. This position offers the opportunity to work on sophisticated business transactions within a collaborative, entrepreneurial environment while building long-term client relationships.
This position follows a hybrid schedule with four days in the New York City office and one remote workday each week.
Responsibilities:
- Lead and manage sophisticated corporate and transactional matters from initial structuring through closing.

Draft, review, and negotiate complex transactional documents, including:
- Mergers and acquisitions.
- Buy/sell agreements.
- Corporate formations and restructurings.
- Shareholder agreements.
- Operating agreements.
- Commercial contracts and related business agreements.
- Advise middle-market businesses on corporate governance, business structuring, and strategic legal matters.
- Provide legal guidance on corporate and securities-related matters, including familiarity with private securities offerings, corporate financing transactions, and applicable regulatory considerations.
- Conduct legal due diligence and coordinate transaction timelines with clients, opposing counsel, accountants, lenders, and other advisors.
- Identify legal, regulatory, and business risks while developing practical solutions that support client objectives.
- Serve as the primary client contact throughout transactions while providing responsive, business-focused legal counsel.
- Collaborate with attorneys across multiple practice areas to deliver comprehensive legal solutions.
- Maintain strong client relationships while identifying opportunities to expand existing client engagements.
- Mentor junior attorneys and contribute to the continued development of the corporate practice.
Qualifications:
- Juris Doctor (J.D.) from an accredited law school.
- Active membership in good standing with the New York State Bar.
- 8 to 10+ years of corporate and transactional law experience.
- Demonstrated experience handling sophisticated middle-market business transactions.
- Experience independently managing transactions from inception through closing.
- Strong drafting, negotiation, analytical, and problem-solving skills.
- Familiarity with securities matters, including corporate financing transactions and securities law considerations.
- Excellent client-facing, interpersonal, and communication skills.
- Strong business judgment with the ability to provide practical legal advice to business owners and executives.
- Proven ability to manage multiple complex transactions in a fast-paced legal environment.
Desired Qualifications:
- Experience with mergers and acquisitions, private equity transactions, business succession planning, and corporate restructurings.
- Experience advising privately held companies, entrepreneurs, and family-owned businesses.
- Familiarity with private securities offerings, capital raises, and related regulatory compliance.
- Experience coordinating multidisciplinary transactions involving tax, employment, real estate, or intellectual property matters.
- Demonstrated business development experience and the ability to cultivate long-term client relationships.
- Experience mentoring associates and contributing to practice growth.
- MBA or other advanced business education is a plus.
