Is this job info correct?

TITL VENTURE STUDIO

FRACTIONAL EXECUTIVE CHIEF OF STAFF (Legal, Strategy & Executive Operations)

Engagement Type: Fractional Executive / Contract

Initial Term: 6 months

Reporting: Directly to Founder & CEO

Expected Commitment: 10–15 working days per month

Location: Lagos, Nigeria, with flexibility for selected in-person meetings and strategic engagements.

1. ROLE PURPOSE

TITL Venture Studio seeks a high-calibre Fractional Executive Chief of Staff to work directly with the Founder & CEO across strategic priorities, executive coordination, legal/commercial matters, venture portfolio oversight and execution.

The Chief of Staff will serve as a trusted executive adviser and execution partner, helping the CEO:

  • Make better decisions.
  • Draft, review and handle legal documentation.
  • Prioritize strategic opportunities.
  • Coordinate multiple ventures.
  • Identify and escalate risks.
  • Manage legal and governance matters.
  • Liaise with relevant stakeholders.
  • Follow through on strategic decisions.
  • Establish executive operating systems.
  • Maintain continuity when the CEO is unavailable.

  • 2. WHY TITL IS CREATING THE ROLE

TITL is developing a substantial venture-studio portfolio of technology ventures/startups at varying stages. As the portfolio grows, the CEO faces increasing complexity across product development and coordination, venture prioritization, corporate structures, IP, capital, investors, partnerships, venture strategy, product direction, corporate relationships, high-value commercial opportunities, strategic hiring, board-level matters, contracts, business development, investment and capital requirements, legal/regulatory matters, executive decision-making and portfolio reporting.

The Chief of Staff will create an executive control layer between the CEO’s strategic direction and organizational execution. The purpose is not bureaucracy, but ensuring the CEO concentrates on decisions where the CEO creates the highest enterprise value.

    3. CANDIDATE PROFILE

    Ideal profile:

A commercially minded lawyer with strong strategic judgment who can operate as a smart business executive.

The candidate must move comfortably between:

    Legal → Strategy → Commercial → Operations → Executive, High-Level Decision-Making.

They should be able to sit with the CEO in strategic meetings, understand the commercial opportunity, identify legal implications, challenge weak assumptions and ensure agreed decisions are executed.

    4. REQUIRED PROFESSIONAL BACKGROUND

    Essential

    • Law degree and professional legal qualification.
    • Relevant qualification for Nigerian and North American practice where required by assigned responsibilities.
    • Approximately 7–15+ years of relevant experience, depending on demonstrated capability.
    • Strong corporate/commercial legal experience.
    • Contracts and commercial negotiation experience.
    • Strong corporate-governance knowledge.
    • Intellectual-property experience.
    • Excellent written and verbal communication.
    • Ability to work independently.
    • Strong analytical and research capability.
    • Corporate/commercial law.
    • Technology law.
    • Company secretarial/governance matters.
    • Venture capital/startup transactions, including SAFE, Pre-seed and Seed.
    • Commercial negotiations.
    • Regulatory/compliance matters.

    Strongly preferred

C-level experience or significant senior exposure in technology companies, SaaS, AI/software businesses, startups, venture capital, private equity, corporate development, management consulting, strategy, business advisory, investment transactions, technology/IP law or executive management.

    Preferred career progression:

    Corporate/Commercial Lawyer → Senior Associate/Legal Manager → Strategy/Commercial/Operations exposure → Executive or startup leadership.

The candidate must ask not only:

    “Is this legally permissible?”

    but also:

“Is this commercially sensible, strategically valuable and consistent with TITL’s objectives?”

    5. CORE RESPONSIBILITIES

    A. CEO Strategic Support

    • Prepare executive briefings and decision papers.
    • Research strategic questions.
    • Analyze opportunities and risks.
    • Track CEO decisions and strategic commitments.
    • Follow up responsible parties.
    • Identify matters requiring CEO intervention.
    • Help prioritize the CEO’s attention.
    • Attend strategic meetings.

    B. Venture Portfolio Coordination

Maintain an executive-level view of the portfolio and be able to answer:

“Where are we with each venture, what is the problem, and what decision is required?”

    Track:

    • Venture stage and product status.
    • Team and development progress.
    • Market validation and revenue.
    • Funding requirements.
    • IP ownership and legal status.
    • Strategic priority and major risks.
    • Next milestone.
    • Corporate governance and data privacy.
    • CEO decisions required.

    C. Legal & IP Coordination

Act as the first executive coordination layer for:

    • Commercial contract drafting/reviews.
    • NDAs.
    • IP assignments.
    • Founder agreements.
    • Developer agreements.
    • Shareholders’ agreements.
    • Employee Handbook.
    • Partner agreements.
    • Licensing.
    • Corporate documentation.
    • Venture structures.
    • Legal compliance tracking.
    • External counsel coordination.
    • Legal-risk escalation.

Specialist external counsel remains responsible for matters requiring specialist legal advice.

    D. Executive Operations

Develop and maintain systems for CEO meetings, decision tracking, strategic projects, executive actions, reporting, escalation, portfolio reviews and risk management.

The objective is an Executive Operating System for the CEO’s office.

    E. Strategic Projects

Handle high-priority projects involving new ventures, strategic partnerships, market expansion, investment opportunities, corporate restructuring, technology commercialization, business development and international opportunities.

    6. AUTHORITY

The Chief of Staff receives defined delegated authority, not unlimited authority.

Within approved limits, the Chief of Staff may independently handle:

    • Routine executive coordination.
    • Internal project coordination.
    • Stakeholder meetings.
    • Follow-ups.
    • Approved operational expenditure.
    • Preliminary negotiations.
    • Executive reporting.

CEO approval remains required for material matters including:

    • Equity transactions.
    • Major investments.
    • Borrowing and guarantees.
    • Acquisitions.
    • Sale or transfer of material IP.
    • Major contracts above approved thresholds.
    • Senior executive appointments.
    • Major litigation decisions.
    • Material corporate restructuring.

A formal Delegation of Authority & CEO Absence Policy will define the boundaries.

    7. CEO ABSENCE

When the CEO is unavailable, the Chief of Staff may represent the CEO only within delegated authority.

    Responsibilities:

    • Maintain operational continuity.
    • Attend authorized meetings.
    • Coordinate executives.
    • Resolve routine matters.
    • Escalate material decisions.
    • Protect TITL’s interests.
    • Maintain records of decisions.

The Chief of Staff does not automatically become CEO during the CEO’s absence.
